The Team We are a Law Department that provides thoughtful and timely advice to Mattel business functions worldwide. We aim to find creative, practical solutions that prudently manage risk and contribute to Mattel's success.
The Opportunity This position is onsite 4 days per week at our El Segundo, CA headquarters - Relocation assistance can be provided
We are seeking a Senior Counsel to support Mattel's Corporate/Securities/Mergers & Acquisitions Group. You will contribute to an active practice that provides high-quality legal support in corporate and securities law and M&A.
What Your Impact Will Be
Corporate governance matters, including Board and Committee support, drafting minutes, and assisting with meeting planning
'33 and '34 Act compliance, including public securities offerings and the preparation/review of 10-Ks, 10-Qs, 14As, 8-Ks, S-3s, S-8s, and Section 16 filings
Mergers and acquisitions, joint ventures, minority investments, including NDAs, due diligence, negotiating transaction documents, and post-closing/integration support
Finance, including credit facilities, public and private offerings, and debt compliance
State corporate law and stock exchange listing compliance
Contract drafting, review, and negotiation (e.g., NDAs, MSAs, engagement letters)
Support for various headquarter functions (Treasury, Investor Relations, Financial Reporting, Internal Audit)
What We're Looking For
Juris Doctor degree from an ABA-accredited law school; top 50 law school strongly preferred
At least 8+ years of experience practicing corporate/securities/M&A at a national or global law firm
Prior in-house, public company legal experience strongly preferred
Ability to communicate legal and compliance issues clearly to all levels of the organization
Strong organization, ability to manage multiple projects, and good judgment
Leadership and collaboration skills; able to work as both a leader and individual contributor
Good standing with at least one state bar; if not licensed in California, commitment to register with California in-house counsel requirements
Compensation Notes The annual base salary range is between
$180,000 and $260,000 . This range is indicative; final base salary will depend on location, skills, and experience.
