The Sr. Corporate Counsel will be part of the Commercial Contracting team within the legal department and will provide legal services related to supplier contracting for DaVita’s technology, consulting and other products and services across business lines. This role can sit in DaVita's Nashville TN office, El Segundo CA office, or Denver CO office. Denver is the preferred location.
Essential Duties and Responsibilities
Provide legal support and counsel in all matters related to supplier contracting by understanding the business, advising clients on legal risks, and developing creative solutions as a team member. Review, redline and negotiate a high volume and broad range of supplier contracts, including master service agreements, procurement agreements, statements of work, consulting agreements, SAAS, software licensing and other IT-related agreements, as well as other services agreements. Coordinate input from Risk Management, Privacy and IT regarding procurement contracts. Ensure contract terms align with business needs, DaVita’s key business terms and standard legal provisions. Provide advice to drive risk mitigation and negotiation strategies for key supplier relationships. Independently manage and prioritize competing work streams to achieve timely results. Improve contracting processes by creating or improving toolkits, playbooks and templates and evaluating contract automation technologies to reduce cycle times and refine standard terms. Translate legal issues into plain English and articulate risks clearly. Work collaboratively with cross-functional groups and coordinate with other legal teams on regulatory, risk, compliance and operational issues. Actively participate in team meetings, events and initiatives.
Qualifications and Requirements
A minimum of five years of commercial contracting experience in an attorney role; in-house experience is preferred but not required. A law degree from an ABA-accredited law school and State Bar admission in good standing. Ability to qualify as a Single Client Attorney if applicable. Proven ability to work with diverse client groups and teams to achieve outcomes. Superior written, verbal and interpersonal communication skills with the ability to listen and communicate effectively at all levels of the organization. Professional demeanor with the ability to interact at the executive level with persuasiveness and confidence. Strong time management and organizational skills with the ability to handle multiple priorities with shifting timeframes and deadlines. Ability to work independently, adapt to changing priorities, and take initiative in high-pressure situations. The salary range for the role is $146,000.00 - $215,000.00 per year.
