Senior M&A Attorney
that can
Run Deals
to join the team, bringing deep expertise in mergers, acquisitions, dispositions, and strategic partnerships. The ideal candidate will have a proven track record in drafting and negotiating complex transaction documents, advising boards and special committees, and navigating regulatory and financing challenges. This role offers the opportunity to work on high-profile deals, including multi-billion-dollar transactions, while collaborating with a collegial team dedicated to client success. Key Responsibilities Lead and manage all aspects of M&A transactions, including mergers, asset sales, stock purchases, joint ventures, tender offers, and share exchanges, for both domestic and cross-border deals. Draft, review, and negotiate transaction documents, including stock and asset purchase agreements, merger agreements, joint-venture agreements, operating agreements, and confidentiality agreements. Advise boards of directors and special committees on fiduciary duties, corporate governance, proxy contests, and compliance with listing requirements. Coordinate with domestic and foreign regulatory authorities and financing sources to ensure seamless transaction execution. Support clients in alternative public offerings, such as reverse mergers with public shell companies and PIPE offerings, providing strategic counsel for going-public transactions. Assist with recapitalizations, including stock splits, preferred stock issuances, and debt-to-equity conversions. Guide clients through pre-acquisition planning, due diligence (e.g., data rooms, bid processes), and post-closing integration. Represent founders and private equity clients in structuring shareholder agreements, including voting rights, tag-along/drag-along provisions, and rights of first refusal. Stay abreast of legal and regulatory developments impacting M&A, providing proactive advice to clients. Mentor junior attorneys and contribute to the firm’s collaborative culture. Qualifications Juris Doctor (JD) from an accredited law school and active bar membership in good standing (NY preferred). 8+ years of experience in M&A, with significant exposure to drafting/negotiating transaction documents and ability to
run and manage
complex deals. Expertise in domestic and cross-border M&A, including public and private transactions, reverse mergers, and joint ventures. Strong understanding of corporate governance, securities law, and regulatory compliance (e.g., SEC, FINRA). Proven ability to advise boards and special committees on fiduciary duties and strategic transactions. Experience with private equity, recapitalizations, or alternative public offerings is a plus. Exceptional drafting, negotiation, and analytical skills with meticulous attention to detail. Ability to manage multiple high-stakes projects under tight deadlines in a fast-paced environment. Strong client relationship skills, with a focus on understanding business objectives and delivering tailored solutions.
