Director of Corporate Development

will help spearhead strategic transactions and execute growth initiatives, including mergers, acquisitions, corporate divestitures, joint ventures, and investments. Responsibilities will also include financial management, valuation, modeling, financial planning, and quantitative analysis in alignment with development strategies for long-term growth, sustainability, and profitability. This is a highly visible role with regular interaction with the CEO, CFO, and other executive leadership to optimize Sonic Healthcare USA’s M&A strategy.

Duties/Responsibilities

Identifies potential acquisition targets or merger partners to align with the company\'s strategic goals.

Leads due diligence processes, assesses risks and opportunities, and negotiates terms to maximize value and minimize risks.

Acts as an objective advisor regarding the strategic fit, valuation, and structuring of business opportunities.

Develops financial models to evaluate investment opportunities and return on investment for M & A, divestitures, and joint ventures.

Serves as day-to-day lead across all aspects of M&A transaction processes.

Conducts competitive market research and analysis to identify trends, competitive and emerging opportunities for growth.

Assists in establishing a pipeline of potential M&A opportunities based on corporate strategic priorities.

Works with functional leadership (finance, legal, sales) to assess the competitive landscape, identify gaps in the current portfolio, and compare strategic alternatives.

Assists in creating presentation materials for executive management, potential partners and customers.

Identifies deal risks and work with functional leaders to assess and devise solutions.

Supports the development of the separation plans for divestitures and the development and implementation of transition services agreements.

Manages relationships with stakeholders, cross-functional departments, external partners, and industry experts to facilitate deal sourcing and execution.

Partners with executive leadership toward successfully executing Sonic Healthcare USA\'s strategic growth initiatives.

Ensures compliance with all legal regulatory requirements and confidentiality.

Performs other job-related duties as assigned.

Education And Experience

Bachelor\'s degree in Business, Finance, Economics or related field; MBA preferred

Minimum of 7 years of experience in Corporate Development, investment banking, or financial management, with significant exposure to mergers and acquisitions

Experience in life sciences, medical or healthcare industry preferred, but not required

Exceptional corporate finance and modeling skills including the ability to independently create ad hoc financial analysis, modeling and valuation

Required Skills/Abilities

Excellent communication (oral and written), interpersonal and organizational skills

Strong financial modeling, quantitative data analysis and negotiation skills

High poised executive presence with the ability to interact with senior executives and handle pressure setting with confidence

Ability to use a wide range of influencing skills to build consensus and alignment across the organization

Ability to evaluate complex problems quickly and determine creative solutions

Ability to build trust across functional relationships to achieve common goals

Excellent judgment and discretion with confidential information

Strong business acumen with a constructive and proactive approach to problem-solving

Competency in deal financial/cash flow/valuation analysis with the ability to perform rigorous and broad quantitative analysis

Excellent time management skills and experience managing numerous tasks simultaneously in a fast-paced environment

Working knowledge of IFRS/GAAP accounting standards

Strong proficiency in the use of MS Office Suite, including advanced Excel modeling skills
