New York Office YOUR MISSION:

As Commercial Counsel, you enable and support our go-to-market organization by leading complex commercial negotiations and ensuring contracts are legally sound, business-oriented, and compliant with US laws (mainly data privacy, health data, AI regulations). You will act as a trusted legal advisor to the Sales, Partner Management, Customer Success and Finance teams – helping us structure, negotiate, and close deals efficiently while managing risk and protecting Parloa’s interests. IN THIS ROLE YOU WILL:

Lead legal negotiations for commercial agreements including MSAs, SaaS agreements, partner/reseller agreements, and compliance documents. Provide practical, business-oriented legal guidance to Sales and cross-functional teams on deal structure, risk allocation, and compliance matters. Partner with Sales, Legal, and Finance to ensure contract terms align with internal policies, revenue recognition principles, and commercial strategies. Draft and revise contract language related to business terms and legal obligations, ensuring clarity and enforceability under applicable laws. Maintain and improve contract templates, playbooks, and approval workflows to streamline deal execution. Educate go-to-market teams on contracting best practices, legal risk, and approval processes to enable faster deal cycles. Manage internal stakeholders during high-priority or escalated negotiations to align on risk appetite and deal strategy. Support global compliance initiatives, export controls, and cross-border data transfers. WHAT YOU BRING TO THE TABLE:

Juris Doctor (JD), LL.M., or equivalent legal degree 5+ years of experience negotiating and drafting complex commercial contracts, ideally in-house at a SaaS or tech company. Deep familiarity with B2B software and cloud/SaaS commercial models, including revenue recognition and compliance requirements. Native English; German skills are a strong plus but not required. A practical mindset with the ability to balance legal risk with business objectives. Excellent negotiation, drafting, and communication skills; comfortable working independently with senior stakeholders. Prior experience supporting a Deal Desk, Sales Legal, or Commercial Legal function. Proficiency in Salesforce and contract lifecycle management (CLM) tools is a plus. NICE TO HAVE:
