We are seeking a highly accomplished and
ambitious mid-to-senior level associate
to join our clientc's transactional life sciences practice. This role is ideal for a candidate with a
robust background in corporate matters , particularly within the life sciences sector. The successful candidate will be
responsible for a broad spectrum of sophisticated transactions , including but not limited to: Law Function
Mergers and Acquisitions (M&A) : Assisting clients with complex M&A deals, including structured acquisitions, divestitures, and carve-out transactions. Capital Markets and Financing : Guiding companies through financing transactions such as public offerings (IPOs and follow-on offerings), private placements (PIPEs), and venture capital financings. They also work with investors, underwriters, and other financial institutions. Licensing and Collaborations : Drafting and negotiating agreements for technology transfers, research and development collaborations, and licensing deals to help clients acquire or divest important assets. Corporate Governance : Advising on corporate governance and disclosure, and ensuring compliance with securities laws and regulations. Commercial Agreements : Handling a variety of commercial contracts, including those related to manufacturing, supply, distribution, and clinical trials. Regulatory Insight : Working closely with regulatory and IP teams to address legal issues related to the FDA and other government agencies that might affect the value and execution of a transaction. SEC : Collaborate with key executives and C-Suite professionals within the healthcare industry to ensure compliance with SEC requirements and advise on potential liabilities and risk involved with day-to-day operations of hospital facilities, research centers, laboratories and chemical products. Qualifications
Juris Doctor (J.D.) from an ABA-accredited law school. Active membership in good standing with the State Bar of California , or the ability to secure admission promptly. Between
2 and 6 years of experience
as a corporate attorney. Preferred Skills
Demonstrable expertise in public capital markets offerings, including
IPOs, follow-on offerings, and ATM facilities . In-depth knowledge of private offerings, such as
PIPEs and venture capital financings . Proficiency in 1934 Act reporting
and other SEC compliance matters. Significant experience with public and private company mergers and acquisitions, including complex structured deals. Exceptional legal drafting and analytical skills . A collaborative and entrepreneurial mindset with a desire to contribute to a
