Overview Our client is a privately owned global developer, manager, and owner of modern power infrastructure. Responsibilities

Join a growing team dedicated to development and management of energy infrastructure, community economic development, corporate social responsibility, safeguarding environmental resources, and sharing in the growth of a highly ethical and competitive, privately held company. This is a full-time position based out of their Boston office.

Support the client’s Project Development and Asset Management teams.

Draft, negotiate and advise on a broad range of agreements of varying sophistication related to the business, including confidentiality agreements, supplier terms and conditions, consulting services agreements, leases and land option agreements, offer letters, membership interest purchase agreements, credit agreements, tax credit purchase and sale agreements, engineering, procurement and construction contracts, interconnection agreements, offtake contracts, ISDAs, and more.

Advise on permitting, environmental, regulatory and licensing matters at the local, state and Federal levels.

Form project and corporate entities and prepare board and shareholder resolutions and other entity formation documents.

Lead/manage the interaction between external counsel and project teams, monitor external legal costs, and foster good relations with external counsel.

Work closely with commercial teams (feasibility, development, finance, engineering and other disciplines) to manage the development of energy generation projects from early-stage activities to commercial operations.

Qualifications

4–6 years of experience as a qualified attorney, with strong corporate and commercial experience and/or exposure to the power industry, whether in-house or at a law firm.

Excellent drafting and negotiating skills with the ability to write clearly and concisely.

Ability to work directly, proactively and collaboratively with project teams, handle matters in a timely manner, and highlight issues that need to be addressed.

Experience in complex commercial and corporate transactions, ideally including some secured finance and/or M&A.

Ability to work independently with minimal supervision to provide direct legal advice and support to project teams.

Ability to liaise confidently with senior management on all aspects of the matters you are working on.

Familiarity with project financing of infrastructure projects, particularly power project financing, M&A, real estate, or Federal/state siting and permitting laws is advantageous.

Experience working in US ISO/RTO power markets is advantageous.
