Overview
Private Funds and Investment Management Paralegal — Chicago, IL. We are seeking a talented and energetic paralegal with at least 3 years’ experience supporting the Private Funds and Investment Management attorneys in the representation of private equity funds, hedge funds, venture capital funds, real estate funds, and other investment vehicles. This role involves assisting with fund formation, investor closings, regulatory filings, and ongoing fund maintenance. The paralegal works closely with partners, associates, and clients to ensure smooth execution of legal and business matters. This person must be able to commute to our downtown Chicago office at least 3 days per week. Key Responsibilities
Assist with the formation and organization of private funds and related entities, including drafting formation documents, partnership agreements, operating agreements, and subscription documents. Manage investor onboarding and closing processes, including tracking investor commitments, preparing closing binders, and maintaining investor records. Support attorneys with regulatory and compliance filings (e.g., Form D, Form ADV, Blue Sky filings, FATCA/CRS, beneficial ownership reporting). Maintain and update fund management databases and corporate records, including capitalization tables, minute books, and investor ledgers. Coordinate with service providers such as fund administrators, auditors, and compliance consultants. Conduct legal research related to investment management, securities laws, and fund regulations. Prepare draft correspondence, certificates, and other corporate governance documents. Assist with ongoing fund operations, including amendments, investor communications, and dissolution processes. Ensure all documentation is executed properly, filed, and stored in accordance with firm policies. Requirements
Bachelor’s degree or equivalent experience required; paralegal certification preferred. 3+ years of experience as a paralegal in private funds, investment management, or corporate law (law firm or in-house asset management setting). Strong knowledge of private fund structures, securities regulations, and investment management practices. Excellent organizational skills with the ability to manage multiple transactions and deadlines. Strong attention to detail and problem-solving abilities. Proficiency with legal research tools, Microsoft Office Suite, and document management systems. Ability to work independently and collaboratively in a fast-paced environment. Preferred Skills
Experience with investor portals and fund management software. Familiarity with SEC, CFTC, and state securities regulatory frameworks.
