Arootah is searching for experienced Chief Legal Counsel or General Counsel to consult to our highly prestigious client base. As a consultant, you will work with our Hedge Fund and Family Office clients to provide expert advice. Having previously served in this leadership role, you have specific, hands-on experience developing, implementing, and managing a full legal and regulatory program for a leading Hedge Fund or Family Office. What You\'ll Do

Directly establish and manage all aspects of the day-to-day legal functions including overseeing all regulatory requirements through proven experience with securities laws and regulations applicable to Registered Investment Advisers and private funds (e.g., private equity or hedge funds) including the Investment Adviser Act of 1940, Investment Company Act of 1940, Securities Act of 1933, and Securities Exchange Act of 1934, as well as FINRA, NFA/CFTC, ERISA and general corporate law. Work directly with the Founder/Principal, Chief Compliance Officer, and outside counsel to ensure adherence to applicable laws, regulatory and reporting requirements across all business entities and funds. Manage the relationship with outside counsel to draft legal documentation and negotiate legal agreements (e.g., LPAs and side letters) with prospective investors. Review, negotiate and advise on organizational and ancillary documents dealing with fund formation, disclosure documentation, offering process (LPA, LLC Agreement, Share Purchase Agreement, Subscription Agreements, NDAs, Non-Reliance Letters, Side Letters) for U.S. and non-U.S. investment funds. Provide advice on the offer and sale of investment products and services throughout the US and in non-US jurisdictions. Monitor and advise on changes to federal and state laws applicable to the Firm and its funds; conduct trainings and lead/support implementation of new compliance protocols. Collaborate with internal stakeholders on firm-wide projects including vendor contracts, employment and labor issues, and adherence to local, state, and federal mandates. Draft and negotiate investment management agreements for US and non-US institutional clients to ensure sound onboarding and implementation. Negotiate terms and advise on the formation, structuring, negotiation and execution of private equity, hedge fund, direct equity, and co-investment transactions. Support litigation-related matters, including discovery or subpoenas for the Firm and its affiliates. Best practice reviews and development of realistic action plans; breaking goals into actionable steps. Advise on vendor selection and oversight; create and implement policies, procedures, and control measures. Evaluate client progress toward goals using KPIs and scoring matrices; handle special projects or other areas of need. Special projects as required. Qualifications

A Bachelor’s Degree in Law, Finance, Business Administration, or a related field. Candidates must have a Juris Doctor or equivalent law degree. Member in good standing of the bar in one or more U.S. states. 12+ years of experience as Chief Legal Counsel or General Counsel with a leading Hedge Fund or Family Office. 8+ years of experience with Federal securities laws and regulations guiding financial institutions, including the Investment Company Act of 1940 and the Investment Advisers Act of 1940, Securities Exchange Act of 1933, at a Hedge Fund, Investment Management Firm, Family Office, or major law firm serving U.S. registered investment advisers. Extensive experience with various investment vehicles, security types, and asset classes across multiple jurisdictions and regulatory agencies. Excellent oral and written communication skills with ability to exercise sound judgment and discretion; proven experience as primary contact on legal and compliance inquiries. Ability to identify opportunities to improve processes and align legal and compliance to mitigate risk. Job Status

Contractor Hours based on client needs (0-40 hours per week). The hourly consulting rate is expected to be a minimum of $400 and a maximum of $600 per hour.
