The Senior Counsel, II provides strategic guidance and commercial legal support to the senior management of Zebra, leading complex and high-dollar value business deals with distributors and channel partners in their region or business unit. Responsibilities include understanding business goals, structuring deals to meet those goals while adhering to Zebra policies, drafting template contracts and policies reflecting agreed content, and negotiating high-value contracts to execution with senior attorneys and management representing counterparties. The role also counsels on dispute resolution and enforcement of contract claims for and against Zebra, and proactively supports region- or business-unit-specific matters including litigation, data privacy, and integration of acquired businesses. Has in-depth knowledge of the overall business, with an intimate understanding of the region or business unit, and becomes embedded with key business teams as a trusted partner Manages Zebra’s business within the respective region or business unit Serves as primary legal representative for the region or business unit, offering proactive solutions and risk mitigation strategies Independently creates and drives legal strategy to complement business objectives for the region or business unit Acts as senior subject matter expert on all country-specific legal requirements and provides counsel on a wide array of areas Drafts contracts of varying complexity, including contracts without existing templates and requiring creativity Leads by example and collaborates with the legal department and cross-functional teams to drive results Keeps abreast of legislative changes, with a focus on antitrust/competition law, and drives understanding across legal teams Ensures proper due diligence and compliance with corporate policies and applicable laws Assists with and counsels on corporate governance and legal entity issues in the region Promotes common tools, processes, practices and participates in departmental IT projects Monitors, directs, and supervises the work of less experienced colleagues and contract managers Hybrid/Location Notes
Hybrid schedule (3 days in office/2 remote) in Lincolnshire, IL is highly preferred. Remote will be considered for the right candidate. Qualifications
Minimum Qualifications: 15+ years of experience, either in-house or with a law firm. Candidates with 8+ years of law firm and antitrust or channel-related legal matters experience will be considered. U.S. education: J.D. from an accredited law school. During employment, must meet requirements for continuing licensure for practice. Education outside the U.S.: Professional legal qualification accredited in accordance with local country practices. During employment, must meet requirements for continuing licensure for practice. Up to 10% domestic and international travel required Preferred Skills and Competencies: Excellent policy and contract drafting with emphasis on complex channel programs and related templates Knowledge of legal issues related to multi-tiered sales systems, including direct and indirect models Experience with resellers and distributors, including applicable agreements Familiarity with U.S. competition law and resolving channel conflicts Experience identifying and mitigating risks related to monopolistic practices or unfair trade in channel strategies Excellent negotiating skills and experience drafting and negotiating a broad range of commercial agreements (distribution, marketing and collaboration agreements, SaaS, software licensing, professional services) Strong analytical, communication, and interpersonal skills; ability to coordinate with outside counsel on complex matters Ability to work collaboratively across departments and escalate to senior leadership as needed Additional Information

USD 174,400 – 261,600 yearly. Salary offered varies by location, skills, knowledge, and experience.
