The Legal Department of IFC (CLED), under the Vice President and General Counsel, Legal Institution and Risk Governance, provides legal and policy advice on operational, advisory and corporate matters. CLED supports client departments in the delivery of IFC’s programs and investments, including Upstream engagements, project portfolio management, and the design and execution of structured finance products, trade finance, equity investments, and platform products. This role is based in Washington, DC and supports IFC’s growing activities in the Financial Institution Group (FIG) space. Responsibilities
Assume primary lawyer responsibility for new and portfolio investments and advisory services as well as Upstream engagements, with a focus on FIG and structured and trade finance. Provide advice and support to FIG investment clients on debt products (including capital market transactions), as well as funded and unfunded structured finance and trade and commodity finance products and related programs. Prepare, review and negotiate legal documentation for FIG transactions, including loan agreements, risk participation/sharing agreements or other bespoke agreements; develop and/or enhance knowledge management materials; respond to ad hoc questions; and provide other legal support as needed. Oversee legal analysts preparing documentation based on standardized terms and conditions. Work with FIG client departments to identify and assess new opportunities; advise on design, documentation and implementation of new projects and initiatives in financial institutions and trade sectors. Collaborate with CLED FIG, Structured Finance and Trade Finance Global leads to develop know-how solutions and trainings; share knowledge across regions. Assist in designing and delivering trainings for FIG departments and CLED. Advise internal FIG clients on institutional and corporate matters; provide general legal advice for IFC business areas. Advise on the selection of outside counsel, manage outside counsel relationships and legal costs. Qualifications and Selection Criteria
At least 8 years of relevant experience in law firm and/or international financial institution and/or development institution, with cross-border emerging markets finance, corporate loans, structured finance and trade finance experience. Hands-on experience with structured finance products (e.g., risk sharing facilities, funded/unfunded risk participations, securitizations, guarantees) and/or trade and commodity finance products and solutions (e.g., trade guarantees, working capital facilities). Familiarity with IFC structured finance products and programs and trade and commodity finance programs (e.g., GTLP, Global Supply Chain Finance, GWFP) preferred. Experience with knowledge management and preparing specimens and written guidance. Ability to handle independently complex corporate and commercial transactions including secured lending, corporate and project finance, debt restructurings and equity investments/divestments. Willingness to travel frequently and on short notice; ability to work in a fast-paced environment with quick turnaround. Excellent interpersonal and communications skills; ability to work in a multicultural environment and with senior stakeholders; high professional integrity and sound judgment with confidential information.
