Overview
A leading law firm is actively recruiting a Private Funds Associate with 3–6 years of experience to join its Financial Services practice in Boston. The role involves advising on fund formation across major asset classes and investment strategies, with a focus on private credit, private equity, real estate, buyout, growth capital, secondaries, and funds of funds. Location
Boston, MA Responsibilities
Draft and negotiate fund documentation, including private placement memoranda, fund agreements, subscription agreements, advisory and placement agreements, and legal opinions and regulatory filings. Manage fund formation processes from launch through closing. Advise clients on investor negotiations, side letters, and subscription documentation. Oversee closing logistics and manage subscription intake. Provide guidance on compliance with the Investment Advisers Act and other federal securities laws. Advise on Regulation D and exemptions to the Investment Company Act. Qualifications
3–6 years of legal experience focused on private fund formation or relevant transactional work. Direct experience in fund formation preferred, but strong corporate associates with interest in private funds will be considered. Ability to manage the full fund life cycle, from structuring to investor closing. Client-facing experience and project management skills required. Prior large law firm experience strongly preferred. Education
Juris Doctor (JD) from an accredited U.S. law school. Strong academic record. Certifications
Admission to practice law in at least one U.S. jurisdiction. Good standing with applicable bar authorities. Skills
Deep understanding of private fund structures and regulatory frameworks. Familiarity with federal securities laws and Investment Company Act exemptions. Strong drafting, negotiation, and communication skills. Ability to manage complex transactions and meet client deadlines. Team-oriented with the ability to lead and collaborate across deal teams.
