Corporate Counsel, Corporate and Securities

CooperVision is seeking a Corporate Counsel, Corporate & Securities to oversee and direct public company securities reporting and corporate governance obligations. Reporting to the Assistant General Counsel, responsibilities include reviewing SEC filings, supporting corporate secretarial matters (including preparation of board and committee materials), and assisting in other areas such as corporate compliance. Base pay range: $147,622.00/yr - $196,829.00/yr. The total compensation may include an annual bonus and other compensation types as determined by the company. The company is a leading global medical device company with two business units: CooperVision and CooperSurgical. Essential Functions & Accountabilities

Review and help prepare Form 10-Ks, 10-Qs, and 8-Ks Manage securities reporting and the compliance program Oversee corporate governance, SEC reporting and internal controls Lead the preparation of the proxy statement and manage proxy solicitation and the annual meeting process Provide support for mergers and acquisitions, equity investments, financings and integration activities Help develop and implement corporate policies and procedures, including communications and awareness campaigns Oversee the Company’s entity management Assist with corporate compliance matters, internal controls, equity administration, investor relations, treasury functions and ESG reporting obligations Support additional projects to advance corporate strategy related to Corporate & Securities Experience & Education

7+ years of relevant corporate law experience, including both law firm and in-house representation of global publicly traded companies (prefer medical device experience) J.D. from an accredited law school and admission to the State Bar of the location where you reside Knowledge, Skills and Abilities

Broad and deep expertise in corporate and U.S. securities laws, corporate governance and board governance matters Exceptional attention to detail, organizational skills and judgment Ability to handle multiple tasks in a fast-paced environment Excellent communication and research skills, including clear writing, public speaking, and ability to establish trust in interactions Understanding of financial documents, accounting for attorneys, and budgeting Professionalism, integrity, sound judgment, and a collaborative approach across regions and time zones Strong computer skills (Word, Excel, PowerPoint, Teams) and adaptability to customized software Cultural competency and, if applicable, ability to travel internationally (passport or equivalent) Normal office environment with seated computer work Travel
