Overview
National Law firm has a need for a Finance Attorney. This is an exciting opportunity to work on a wide range of matters related to disclosure obligations under federal securities laws, compliance with listing standards, interactions with the SEC, and corporate governance needs. What Your Day May Look Like:
Advise public company clients on their day-to-day disclosure obligations under federal securities laws. Assist clients in complying with applicable listing standards of major U.S. exchanges. Provide advice on executive and director compensation and related disclosures. Work on capital markets transactions, including primary and secondary equity offerings, high-yield debt offerings, and M&A transactions. Collaborate with the team on joint ventures, capital markets offerings, and other transactions. Stay informed on developments in securities laws, corporate governance, and executive compensation, advising clients on strategic trends. Assist clients with risk mitigation efforts and provide preparatory services for corporate governance and compliance. Qualifications:
JD from an ABA-accredited law school. At least 2-5 years of experience in advisory work. Understanding of executive and director compensation and related disclosures. Experience in offering work, such as equity offerings, high-yield debt offerings, and M&A is a plus. Strong communication and client management skills. Ability to work collaboratively in a team environment and across various industries.
