Overview
Corporate Governance Professional/Senior Paralegal. Provides services in support of legal counsel. Participates in the implementation of improvement opportunities to contribute to the effective and efficient operations of the business. Builds productive relationships with legal counsel, Board and Committee members and staff, and delivers exceptional administrative service through responsive, accurate and knowledgeable support. Acts as Secretary or Assistant for various BMO Financial Group subsidiaries and affiliates (BFG); prepares meeting agendas, disseminates meeting materials via email and online board portal and drafts minutes for operating companies, including regulated entities. Responsibilities
Assist in coordinating BFG materials for Board and committee meetings. Disseminate information to directors and management, coordinate meeting dates, arrange audio-visual, transportation, catering and other meeting arrangements. Handle director payments, monitor attendance, circulate and follow up on questionnaires. Independently handle time sensitive redactions of board and committee meeting materials and minutes. Responsible for annual FRY-6 filings and other bank regulatory filings. Manage regulatory compliance and risk program for the U.S. team, including maintaining regulatory inventory, conducting monitoring and testing, distributing quarterly attestation reports, compiling results, and tracking issues. Maintain and update database of information on identified subsidiaries and affiliates; prepare incumbency and other certificates for signing authority of officers; catalog and store corporate records (e.g., acquisition closing documents, contracts, Board minutes). Handle state corporate filings (annual reports, qualifications to do business, etc.) for BMO Financial Corp.’s U.S. subsidiaries. Plan, attend and execute allocated Board and Board Committee meetings, including agenda coordination, material mailing, meeting minutes, and follow-up trackers. Prepare correspondence, reports and other documents; develop and maintain filing systems; ensure business/operational documents are readily available. Maintain and certify accuracy of portfolio information in Global Entity Management System (GEMS); certify completion of compliance procedures and documentation to support transactions. Coordinate internal funding transactions; provide insider reporting information, including insider filing requirements and controls; monitor stock option exercises as required. Support project management and monitoring of progress against milestones and project expenses to stay on budget; handle sensitive/confidential bank information and work effectively in a high-stress environment with changing expectations. Build effective relationships with internal/external stakeholders; understand and respect sensitive bank matters that may impact reputational risk. Focus is primarily on business/group within BMO; may have broader, enterprise-wide focus; provide specialized consulting, analytical and technical support. Exercise judgment to diagnose and solve problems within given rules; work independently and handle non-routine situations; broader responsibilities may be assigned as needed. Qualifications
7-15 years experience and a Paralegal Certificate or equivalent training; Bachelor’s degree and large law firm or in-house experience preferred. Excellent interpersonal and communication skills; able to interact with all levels of management, internal and external directors. Superior organizational skills and strong writing abilities. Knowledge of the business and regulatory environment; transactional experience is an asset. Deep knowledge and technical proficiency gained through extensive education and business experience. Verbal and written communication skills (in-depth); collaboration and teamwork (in-depth); analytical and problem-solving (in-depth); influence skills (in-depth); data-driven decision making (in-depth). Salary and Benefits
$81,400.00 - $151,800.00. Pay Type: Salaried. Salaries will vary based on location, skills, experience, education, and qualifications for the role; may include commission structure. Part-time roles pro-rated; commission roles reflect target for first year. Total compensation may include performance-based incentives, bonuses, and other perks.
