Eastman Kodak Company is seeking an experienced SOX Compliance expert to join our finance team to lead our SOX Compliance Office (SCO). The SCO is responsible for ensuring Kodak’s compliance with the Sarbanes-Oxley Act and as such oversees governance for internal controls over financial reporting (ICFR). The Director is also responsible for the management and execution of the SCO for the Company. This position will report to the Corporate Controller. This highly visible role will work closely with senior management as well as cross-functional leaders throughout the Company. Responsibilities
Assist management with the design of controls, including acting as a liaison with Process and Control owners to ensure SOX documentation (key risks and related controls, policies & procedures and other internal control documentation) is complete and up to date Perform “as needed” walkthroughs due to changes in business processes, systems, etc. that could impact controls with input from control owners and other stakeholders, as appropriate Drive process and control changes by working with process owners in order to gain efficiencies and to improve the control environment Prepare the annual SOX Scoping and Risk Assessment and proactively monitor changes that may impact the design and / or operating effectiveness of internal controls Oversee coordination between internal and external auditors, and system / control owners to ensure cohesive and collaborative execution of the annual evaluation of ICFR Act as the primary administrator of the SOX Compliance Software Ensure control preparer / reviewer / owner responsibilities are transitioned timely and appropriately, when needed, to ensure adequate segregation of duties, proper supervisory reviews and adequate skills Monitor on a quarterly basis that the SOX control and process owners completed SOX control self-assessments and formal attestations, review the results for identification of ineffective controls and potential control deficiencies Identify and communicate ICFR changes to senior management and the Disclosure Committee Oversee the coordination of annual walkthroughs of significant processes to ensure the understanding of key risks and controls is accurate, complete and properly documented (includes participation from both Internal Audit and Kodak's independent auditors) Work with Internal Audit, control and process owners and others to identify and analyze the severity of internal control deficiencies Work with stakeholders to develop remediation plans for internal control deficiencies. Track the status of such plans and report on them appropriately Coordinate and assist process owners with the annual SOC1 assessments providing expertise, guidance, and review of controls to formally evaluate the control environments of third-party service organizations Stay informed of changes in legislation, accounting literature and regulatory guidance which impact ICFR, including reviews of PCAOB reports of independent accountants Attend key management committee meetings to stay informed of changes that may impact the company’s internal control environment, including on-going meetings with the CFO, Chief Accounting Officer (CAO) and Chief Information Officer (CIO) Required Skills and Qualifications
CIA or CPA with a Big 4 public accounting firm is strongly preferred Minimum 8+ years of relevant work experience Previous experience with developing and managing junior team members Experience with designing, monitoring, or evaluating internal controls and SOX compliance programs for a multinational organization Strong background in public company SOX compliance requirements, accounting, and finance processes, including a solid understanding of the concepts of control design and operational effectiveness Manufacturing experience including an understanding of ERP systems and related inventory and procurement business processes Strong knowledge / experience with Public Company Accounting Oversight Board (PCAOB) requirements, US GAAP, and the COSO framework Experience with SOX Compliance software A customer service approach to help business process owners navigate the SOX program, especially with non-accounting business partners The ability to quickly develop strong working relationships with internal departments, including those in international locations, IT personnel, and external consultants and internal and external auditors Ability to communicate effectively and influence, interact, and partner with cross-functional and remote teams A willingness to challenge the status quo and drive continuous improvement through the organization Self-motivated, able to manage change, and ability to work under tight deadlines and thrive in a high-growth and challenging environment with strong multi-tasking, analytical and decision making skills Critical thinking self-starter with strong leadership and project management capabilities
