Commercial Contracts (Hybrid) Location:
Near Aliso Viejo, CA (Hybrid schedule: 2 days remote/week(Tues/Thurs work from home)) Overview: A growing, well-capitalized company is seeking a
Senior Contracts Counsel
to lead the negotiation and management of complex commercial agreements. This is a high-impact legal role with visibility across departments and strategic influence over contract lifecycle operations. The ideal candidate has extensive in-house experience, strong business judgment, and a practical approach to legal risk. Key Responsibilities: Draft, review, and negotiate complex commercial contracts including MSAs, SaaS agreements, NDAs, vendor/supplier contracts, and strategic partnerships. Act as primary legal advisor for contract-related matters including structuring, compliance, and risk mitigation. Collaborate with cross-functional teams (Sales, Operations, Finance, Procurement, Product) to align contract terms with business needs. Resolve escalated contractual issues, lead dispute negotiations, and manage contract enforcement matters. Develop and maintain legal templates, playbooks, and contract review workflows to streamline operations. Provide guidance to junior legal staff and serve as a subject matter expert in commercial transactions. Stay current on legal and regulatory developments impacting contracts and advise internal stakeholders accordingly. Engage external counsel as needed on jurisdiction-specific or highly complex matters. Qualifications: 8+ years of legal experience with a strong focus on commercial contracts; in-house counsel experience preferred. Juris Doctor (JD) from an accredited institution; active bar membership. Demonstrated ability to manage contract risk while enabling deal flow. Excellent negotiation, communication, and interpersonal skills. Strong organizational skills and ability to manage multiple priorities in a fast-paced environment. Familiarity with contract lifecycle management systems or legal operations tools is a plus. Compensation: Base Salary: $135,000 Bonus: Target 10% Equity: $20,000 in RSUs Relocation support may be available for the right candidate
