We are recruiting for a
Director Legal Counsel, Corporate Treasury
with demonstrated legal proficiency in supporting corporate treasury activities to assist with the expansion of such activities. As a member of Schwab’s Legal Services organization, you will report to the Managing Director, Treasury Counsel and be responsible for providing legal advice and support to our Treasury department which includes the Liquidity and Funding Management, Securities Lending, Treasury Capital Markets, Corporate Treasury Services, and Treasury Corporate Finance groups. These groups handle liquidity and funding activities across the company, transact the company’s securities lending business, and manage investments in the company’s portfolios.
Responsibilities
Supporting the Treasury Department in matters relating to SFTs and expansion of the funding management platform, liquidity management, capital optimization and netting, derivatives hedging, and treasury clearing.
Drafting, reviewing, and negotiating various legal agreements between Schwab and other institutional counterparties such as master securities loan agreements (MSLA and GMSLA), master repurchase agreements (MRA and GMRA), master securities forward transaction agreements, FCM agreements, ISDA master agreements and related agreements for derivatives hedging.
Maintaining and updating standard forms and templates of master agreements (including schedules, annexes, and term confirmations).
Reviewing agreements for the Treasury department, including credit facilities, bank accounts, custody and clearing agreements, and intercompany lending agreements.
Reviewing Treasury group policies and procedures.
Advising on margin regulation and related broker-dealer regulations.
Advising on legal and regulatory matters affecting the Treasury Department and keeping management and personnel up to date on pertinent developments.
Taking on other projects depending on bandwidth and experience.
Qualifications
JD from an accredited U.S. law school. Admission to and in good standing with the state bar of at least one U.S. state.
10+ years of experience negotiating securities lending agreements, repurchase agreements, forward transaction agreements and derivatives documentation for the Treasury group of a bank or broker-dealer or on behalf of financial institution clients.
Knowledge of and familiarity with applicable securities and banking laws and regulations.
Strong interpersonal and communication skills (verbal and written) with the ability to collaborate across interdisciplinary teams.
Strong work ethic and ability to make decisions, multi-task, prioritize, and follow through on numerous projects simultaneously.
