The Attorney General is the chief legal officer of the State of Maryland. The Office of the Attorney General (OAG) has the general charge, supervision, and direction of the State’s legal business, acting as legal advisors and representatives of the major agencies, various boards, commissions, officials, and institutions of State Government. The OAG also protects the public by civil enforcement of antitrust, civil rights, consumer protection, and securities laws and regulations and by the prosecution of organized crime, Medicaid fraud, environmental crimes, insurance fraud, state tax evasion, and other statutorily assigned matters. As Maryland’s 47th Attorney General, Anthony G. Brown leads the Office with a critical focus on equity, justice, and fairness. The OAG is seeking applicants for an Assistant Attorney General position with the Maryland State Retirement and Pension System (MSRPS), to advise MSRPS with respect to its investment programs. The MSRPS provides retirement and pension allowances and other benefits to more than 427,000 participants. The market value of the MSRPS’s assets is approximately $73.6 billion as of June 30, 2025. Housed with the Maryland State Retirement Agency (“SRA”), OAG’s Division for the MSRPS is a small and highly collegial team of 9 attorneys and an office administrator, led by the MSRPS’s Principal Counsel and two Deputy Principal Counsels. OAG’s investments team is comprised of the Deputy Principal Counsel for investments and a Senior Counsel, and it advices SRA’s investment staff and the MSRPS’s Board of Trustees on all matters pertinent to the MSRPS investments. The Assistant Attorney General will advise the MSRPS’s Board of Trustees and SRA staff on a broad range of issues related to the MSRPS’s investments. This work includes reviewing, drafting, and negotiating documents for private fund transactions, such as limited partnerships agreements, subscription agreements, side letter agreements, and related consents and amendments. In carrying out these responsibilities, the Assistant Attorney General will coordinate with and provide oversight of outside counsel as appropriate. The position also involves reviewing, drafting, and negotiating agreements to the MSRPS’s public markets investments, including investment management agreements. In addition, the Assistant Attorney General will advise on procurement contracts with investment-related advisors, consultants, and vendors, as well as technology procurement agreements that support both the MSRPS’s investments and its internal management program. Beyond transactional work, the Assistant Attorney General will counsel SRA’s Investment Division and certain committees of the Board of Trustees on the laws and policies governing investments, including federal securities laws and corporate governance matters. The role further requires conducting legal research and drafting advice memoranda on relevant issues. Finally, the Assistant Attorney General will review and provide guidance to the Investment Division and SRA compliance staff on Public Information Act requests involving the MSRPS’s investments. EXPERIENCE

The ideal candidate will have at least six (6) years of legal experience reviewing, drafting, and negotiating documents for complex business transactions, and excellent analytical and writing skills. Prior experience with corporate law, sophisticated investment transactions, including private fund transactions, securities law, or representing institutional investors such as pension funds, foundations, or endowments, is highly desirable. Sound judgment, a willingness to expand knowledge of substantive legal issues, strong interpersonal and organizational abilities, excellent communication skills, along with the ability to manage priorities for various stakeholders, is essential. Admission to the Maryland Bar (or the ability to waive in) is required. SUBMISSION
