Silicon Legal Strategy - a boutique law firm providing targeted, bottom-line-oriented advice to technology startups, innovative entrepreneurs and seasoned investors - has an opening for a full-time corporate paralegal focused on emerging companies and venture capital clients. This is a remote or hybrid position depending on candidate location and preference, with the possibility of additional required in-office days on a periodic basis for firm-wide team events. Position Summary Corporate paralegals work closely with attorneys to provide legal support with general corporate maintenance and complex transactions for private company clients and venture capital investors. Position Responsibilities: Assist in the formation, maintenance, and dissolution of corporate entities and prepare related documents; Administer stock option plans and prepare related documents; Coordinate venture capital financing closings and prepare related documents and certificates; Draft and file corporate and securities filings; Organize corporate records and conduct due diligence reviews in connection with venture capital financings and mergers and acquisitions; Prepare stock certificates and maintain capitalization tables; Coordinate stockholder mailings and communications; and Prepare first drafts of board and stockholder actions. Desired Skills and Qualifications: Minimum of 2+ years of recent and direct corporate law experience (preferably in a large Silicon Valley/corporate law firm); Have solid experience with capitalization maintenance platforms such as Carta, Pulley and ShareWorks; Possess excellent communication/organizational skills and diligent attention to detail; Have dedication to responsive client service and a passion for working with entrepreneurs; Are confident/self-assured; Have the ability to work well under pressure and multi-task in a fast-paced environment; and Bring a sense of humor and an energetic personality. Our paralegals average around 1,300-1,350 billable hours per year, substantially less than our BigLaw counterparts. Over the past five years alone, we advised clients in over 2,000 VC/Angel financings (closing in excess of 7 deals every week) and hundreds of M&A transactions. The Anticipated Range For This Position Is $168,000 - $185,000, which encompasses: ·Base Salary of $138,000 ·Signing Bonus of $30,000 ·Hours Bonus of $17,000 at 1,350 hours (with increases for additional hours milestones) Depending on the role, the actual base salary offered may depend upon a variety of factors, including without limitation, the qualifications of the individual applicant for the position, years of relevant experience, level of education attained, and certifications or other professional licenses held.
