Description The General Counsel will serve as a key leader of the Legal Department at Specialty Dental Brands (“SDB”), providing strategic and practical legal advice across the organization. This role will focus on corporate, transactional, regulatory, and compliance matters, with an emphasis on supporting business operations and enabling growth. The GC will partner with executives, operations, finance, HR, and clinical leadership to manage legal risk while supporting SDB’s mission to deliver high-quality, patient-centered care. Why SDB? The General Counsel will play a critical role in supporting our growth and ensuring we deliver on our mission to serve patients and providers with excellence. Responsibilities: Provide legal advice and counsel on a wide range of corporate, commercial, and healthcare regulatory matters

Draft, review, and negotiate complex agreements, including provider employment agreements, vendor and supplier contracts, real estate/lease agreements, and M&A transaction documents

Oversee corporate governance matters, including board resolutions, policies, and entity management

Support due diligence, structuring, and integration activities in connection with acquisitions, joint ventures, and other strategic transactions

Collaborate with HR to manage employment-related matters, policies, and investigations, ensuring compliance with applicable labor and employment laws

Monitor changes in healthcare regulations and advise on compliance with federal and state laws, including HIPAA, Stark Law, Anti-Kickback Statute, and state dental/medical board requirements

Manage outside counsel relationships and oversee cost-effective use of external resources

Develop and implement policies, procedures, and training to improve risk management and operational efficiency

Handle special projects and additional duties as assigned Requirements J.D. from an accredited law school and active license in good standing with at least one U.S. state bar

10+ years years of legal experience, with a strong background in corporate transactions, healthcare law, or a mix of law firm and in-house experience

Experience with multi-site healthcare, dental, or physician practice management companies preferred

Proven ability to draft and negotiate complex contracts and provide practical business-oriented solutions

Strong understanding of healthcare compliance and regulatory frameworks

Exceptional communication, collaboration, and problem-solving skills

Ability to manage multiple priorities in a fast-paced, growth-oriented environment

High integrity, sound judgment, and a proactive approach to risk management
