$60,000 - $180,000 / year The Deputy General Counsel plays an integral role within ISG’s legal department, acting as a senior legal advisor and a close collaborator with our General Counsel. This position involves a wide range of legal activities, including but not limited to, providing legal guidance on various matters, including, but not limited to, contracts, litigation, compliance, employment, intellectual property, mergers and acquisitions, collections, insurance, risk management, licensing, general corporate and environmental. The individual in this role supports the General Counsel in the leadership and direction of the legal department, contributing to strategic decision-making processes and stepping in to lead in the General Counsel’s absence. Essential Duties

Legal Advice and Guidance : Provide legal advice and guidance to senior management and other departments on a wide range of legal matters, including corporate governance, compliance, and risk management Contract Management : Draft, review, and negotiate complex contracts and agreements with clients, vendors, and partners to protect the organization’s legal and business interests Litigation Oversight : Manage litigation and disputes involving the organization Compliance and Policies : Develop, implement, and enforce policies and procedures to ensure the organization’s compliance with applicable laws, regulations, and ethical standards Employment Law : Advise on employment law matters, including drafting employment agreements, managing employee disputes, and ensuring compliance with labor laws and regulations Intellectual Property : Oversee intellectual property to protect the organization’s intellectual property rights (including patents, trademarks, copyrights, trade secrets and licenses) Corporate Transactions : Coordinate the legal aspects of mergers, acquisitions, divestitures, and other corporate transactions Skills, Knowledge and Expertise

MINIMUM QUALIFICATIONS

Juris Doctor (JD) degree from an ABA accredited law school. Current law license (in good standing) to practice law in the State of Minnesota. Two or more years of legal experience as a practicing attorney; either in-house or private practice, or a combination of both. Broad legal background, preferred Ability to handle fast paced environment and manage changing priorities PREFERRED QUALIFICATIONS

Mergers & Acquisitions (M&A) experience Experience with AIA, EJCDC, DBIA and/or Consensus Docs Corporate formation/structure background Litigation experience or desire/ability to guide company on resolution of issues Experience counseling board of directors and/or executives on legal matters ISG Employee Owner Benefits
