Overview

Advance Auto Parts, Inc. is seeking an exceptional attorney to support critical corporate functions. The role will report into the Senior Vice President, Deputy General Counsel and Assistant Corporate Secretary and partner closely with the finance and investor relations teams. Primary responsibilities will include advising on public company reporting and governance matters, capital markets transactions, mergers and acquisitions and commercial agreements. Strong securities law training, exceptional communication skills and a service mindset are required. Essential Duties and Responsibilities

include the following, other duties may be assigned: Ensuring compliance with applicable securities laws and regulations, including reviewing periodic and current filings and advising as needed on Regulation FD and other public disclosure matters

Monitoring and maintaining compliance with New York Stock Exchange listing requirements

Providing key support for the Company’s annual meeting of shareholders, including primary drafting of the Company’s proxy statement and management of shareholder proposals

Providing legal advice and project management for corporate transactions, including mergers and acquisitions, debt offerings and credit facility work

Supporting core corporate secretarial work, including meeting preparation for committees of the Company’s Board of Directors, as well as managing core corporate and governance work for the Company’s subsidiaries

Reviewing and negotiating commercial agreements, including vendor, procurement, information technology and service provider agreements

Supporting the Company’s sustainability reporting, including ownership of SASB reporting

Qualifications

Inherent service disposition and ability to build and maintain relationships across the enterprise

Strong legal technical skills related to public company securities regulation, corporate governance and corporate and financing transactions

Commerciality and strong interest in business strategy and operations

Proven project management experience, strong drafting abilities and the ability to work effectively in a dynamic and demanding environment

Strong interpersonal and consultative skills, with an ability to work effectively with individuals at all levels

Judicious engagement and supervision of outside counsel as needed

Education and Experience Requirements

Licensed attorney with excellent academic credentials;

Minimum of 4-6 years’ legal experience, with preference for training in a leading law firm

Supervisory Responsibilities

This position will not be responsible for managing a team or direct reports. Location & Work Availability

This position is Hybrid (4 days in office, 1 day remote), based at our corporate headquarters in Raleigh, North Carolina.
