Manager - M&A Accounting and SEC Reporting

role involves the management and coordination of Quanta’s accounting processes related to purchase price accounting, fair value assumptions and modeling for intangibles and other assets, as well as areas such as goodwill impairment testing and implementation of new accounting pronouncements. This role also manages the preparation and review of schedules used in SEC disclosures, filings and published materials, with interaction across corporate offices and operating units. The position reports to Quanta\'s Assistant Controller. What You\'ll Do

Manage technical accounting and prepare/review all workpapers related to business combinations arising from Quanta’s merger and acquisition activity, including: due diligence, opening balance sheet adjustments, journal entries, and related reporting. Assess acquisition consideration (net working capital, make-whole, contingent consideration liabilities, stock and other compensation arrangements) and oversee earnout liability accounting. Prepare intangible and other fair value assumptions and forecast/discounted cash flow models; coordinate with third party valuation specialists as needed. Prepare pro-forma financial statements and related disclosures; monitor acquisitions for additional reporting requirements. Prepare acquisition documentation and accounting memorandums; assist with integration and coordinate with corporate/Operating Unit accounting teams. Participate in SEC reporting processes for filings (10-Q, 10-K, 8-K) including MD&A drafting, disclosures, tie-out, XBRL tagging and earnings- and investor-related materials. Support preparation and tie-out of schedules for disclosure areas such as acquisitions, goodwill and intangible assets, investments in affiliates, fair value measurements, cash requirements and capital allocation (purchase commitments). Maintain documentation for annual goodwill impairment testing with coordination from third party valuation specialists as needed. Assist in the preparation of consolidated financial statements, earnings per share calculations, and management of cash flow accounting for complex transactions. Coordinate quarterly and annual project files within Quanta\'s external reporting application (Workiva) for 10-Q, 10-K and 8-K materials. Assist with the implementation and documentation of new accounting pronouncements and company policies. Prepare and coordinate presentations for the Board of Directors, Audit Committee, investors, and Operating Unit Presidents/Controllers. Collaborate with Legal, HR and Treasury on related disclosures, debt covenants, financing materials, and proxy statements as needed. Contribute to Sustainability reporting data and related disclosures. Research technical accounting issues and prepare memorandums outlining positions and implications for SEC disclosures; perform internal controls work with auditors. Educate and train staff, manage consultants/third-party specialists, and coordinate with Workiva representatives and M&A valuation specialists. Identify process improvements and drive efficiency in related accounting and disclosure processes. Perform other duties as assigned to support corporate departments and units with process improvements and technical accounting matters. What You\'ll Bring

Bachelor’s and Master’s degree in Business Administration or Accounting 8-10 years of public accounting experience or 10–12 years of relevant industry accounting experience Experience managing a financial reporting team for a large, accelerated SEC registrant/filer Strong working knowledge of US GAAP and Sarbanes-Oxley controls Experience with business combinations purchase accounting and technical accounting research/memorandums Preferred Education and Experience

Experience with external reporting/filing software such as Workiva Experience with ERP systems (Hyperion or OneStream is a plus) Licenses / Certifications
