Senior Counsel
to support company operations out of our Broomfield, CO corporate headquarters. MWH Constructors is a global project delivery company with a focus on water and energy. With the goal of delivering maximum value to clients and their local communities, MWH Constructors provides single-source, integrated design and construction services and a full range of project delivery methods. The company’s multi-disciplined team delivers a wide range of projects, including new facilities, infrastructure improvement and expansion, and capital construction services. Responsibilities
Provide legal counsel and guidance on day-to-day corporate activities and special situations. Analyze legal matters arising in connection with project pursuit and execution; advise project management and senior executives. Participate in evaluation, negotiation and integration of mergers and acquisitions. Support the legal and risk management functions for the organization, including contracts, licensing, insurance and bonding. Negotiate, write and execute agreements and contracts on behalf of the company. Research and advise on contract status, legal risks, and liabilities; anticipate unique legal issues impacting the company. Negotiate prime contracts, subcontracts, teaming agreements, joint venture agreements and related contracts. Lead construction and/or engineering claims and disputes with contractors, owners and subcontractors. Support special projects, such as research, transactional documentation, and updates to guidelines, policies, procedures and presentations. Assist in implementing MWH legal and risk policies, processes and procedures. Provide training to job site leadership on legal topics. Basic Qualifications
J.D. degree and license to practice law. Minimum 5-10 years of related work experience within an engineering or construction company or a law firm in the construction and/or engineering field. Comprehensive knowledge of industry business practices and negotiation of prime contracts, subcontracts, teaming agreements, joint venture agreements, project management agreements, parent company guarantees, and related contracts. Experience in construction claims preparation, negotiation and settlement. Strong negotiating skills with legal and financial/commercial issues. Solid understanding of construction insurance and bonding. Strong interpersonal and presentation skills and the ability to communicate effectively with all levels of the organization. Strong written and oral communication skills; ability to interact with and counsel senior management. Ability to establish and maintain strong relationships within the organization's legal department and across all businesses. Practical, commercial, solution-oriented, problem-solving approach.
