Job Title: ** Mid-Level Mergers & Acquisitions Associate **
Location: ** New York, NY **
Overview: ** A leading global law firm is seeking a
Mid-Level Associate
to join its
Mergers & Acquisitions (M&A)
practice in New York. This is an excellent opportunity for a skilled attorney to work on complex, high-value transactions across a variety of industries, including industrials, consumer retail, pharmaceuticals, energy and renewables, and technology. **
Responsibilities: ** Review, draft, and negotiate key transaction documents including term sheets, letters of intent, memoranda of understanding, confidentiality and non-disclosure agreements, merger agreements, purchase agreements, and other transaction-related documents. Draft detailed memoranda analyzing legal considerations for complex M&A and financing transactions, including governance and economic rights. Prepare, draft, and revise transaction documentation such as due diligence reports, operating and shareholders’ agreements, ancillary agreements, and corporate housekeeping documents (board and shareholder resolutions, consents, certificates, etc.). Compile schedules and exhibits to support transaction agreements. Conduct legal and market research on corporate governance matters and deal term trends, including minority consent rights and reverse termination fees, utilizing platforms such as Intelligize, DealPointData, and Westlaw/Practical Law. **
Qualifications: ** Juris Doctor (JD) degree or equivalent. Minimum of
2 years of M &A experience
with a focus on complex transactions. Admitted to practice law in the
State of New York
. Strong drafting, analytical, and research skills. Experience advising clients across multiple sectors is highly preferred. **
Compensation: ** **
Base Salary: ** $310,000 - $365,000 annually (commensurate with skills and experience, in accordance with applicable law). **
