We are seeking a proactive and detail-oriented Corporate Paralegal to join our Legal team in a dynamic, fast-paced environment at a publicly traded company. This role will support corporate governance, contract management, and compliance initiatives, working closely with in-house counsel and cross-functional teams. The ideal candidate will have strong organizational skills, legal research expertise, and proficiency in managing corporate records to ensure regulatory compliance and operational efficiency.

Key Responsibilities

Assist in corporate governance activities, including preparing board and shareholder meeting materials, maintaining corporate records, and ensuring compliance with SEC and state regulations.

Draft, review, and manage contracts, including NDAs, vendor agreements, and corporate filings, ensuring accuracy and adherence to legal standards.

Conduct legal research and prepare memoranda to support corporate transactions, litigation, and compliance with regulatory requirements.

Coordinate with internal teams and external counsel to streamline processes, support audits, and maintain accurate documentation for corporate and compliance activities.

Requirements and Skills

Bachelor’s degree or paralegal certification from an accredited program.

3+ years of corporate paralegal experience, preferably in a publicly traded company.

Strong knowledge of corporate governance, contract law, and regulatory compliance.

Proficiency in Microsoft Office and legal research tools (e.g., Westlaw, LexisNexis).

Preferred

Experience with corporate entity management software (e.g., Diligent, CSC).

Familiarity with SEC filings and SOX compliance support.
