Legal Contractor
to work with one of our enterprise life-sciences client’s.
This role is working 25-30 hours per week on a hybrid schedule in Minneapolis, MN.
This role will support the transformation of our advisory offerings and play a key role in supporting multiple product launches and transition events.
Pay: $91–$96/hour (depending on experience)
Duration: thru the end of 2026
Location: Minneapolis, MN – working a hybrid schedule. 25 - 30 hours per week!
Responsibilities
Work collaboratively with business partners to understand each initiative and identify the potential impacts under the Advisers Act and related SEC guidance.
Provide expertise and application of the federal securities laws impacting all aspects of retail investment advice, including Regulation Best Interest, the Investment Advisers Act and applicable Client rules and state securities regulations.
Prepare and communicate legal requirements and guidance for each initiative, including available options for how to implement the requirements and ensuring all impacted populations receive required notice of upcoming changes in terms of information and timing.
Identify and draft updates to client facing disclosures and client agreements that achieve informed client consent.
Identify needed updates to account and service forms to support the change moment.
Negotiate master advisory agreements and amend existing agreements with third-party asset managers.
Support development of marketing materials and internal communications for each change.
Review and assist with updating various policies, procedures and operational guides are to accurately reflect each change moment, including information and documentation needed from the third-party asset managers.
Cultivate and promote strong working relationships with key business partners.
Qualifications
JD or equivalent (5 years)
Advanced subject matter expertise in Adviser Act and related SEC guidance
Previous experience negotiating advisory agreements.
Previous experience drafting ADV brochures and client agreements
Solid research and analytical skills.
Exceptional verbal and written communication skills
Ability to independently and effectively manage time and prioritize work to meet multiple tight deadlines while paying strong attention to detail.
Exhibits good working knowledge of products and services and business lines related to area of responsibility.
Makes decisions quickly and appropriately using extensive expertise.
Demonstrates increasing depth of knowledge of regulatory framework area of specialty and/or increasing breadth of knowledge in areas within and related to area of specialty.
Must be authorized to work in the United States
