Associate General Counsel.
This position is based in our Fairfield, Connecticut office.

The Associate Counsel responsibilities include:
Advises internal staff and interacts with external parties on behalf of the organization regarding a diverse range of legal and commercial issues that will include compliance, regulatory matters, human resources, litigation and dispute management, privacy, intellectual property, technology, employment, investigations, governance, policies, corporate or other areas.
Coordinates with outside counsel when necessary.
Drafts, reviews, analyzes and negotiates a variety of commercial agreements that may include vendor, sales and services contracts, collaboration agreements, investment contracts, non‑disclosure agreements, release and settlement agreements, licensing agreements, corporate leases, independent contractor agreements, and employment agreements.
Assists in the drafting of Securities Offering Documents, Private Placement Memoranda, loan and lending agreements and other related documents.
Takes initiative to resolve complaints and disputes with customers, clients, and partners or other parties to mitigate potential for litigation. This includes working across the organization with other departments to facilitate the accumulation of needed historical information to help resolve such complaints or disputes.
Works collaboratively across the organization and manages outside counsel on various legal issues; providing direction, discussing strategy, reviewing work product and managing fees.
Active member of internal project working groups and may serve as lead on projects from time to time.
Required Skills and Experience:
J.D. and undergraduate degrees earned with excellent academic credentials.
Admission to and good standing in a U.S. state bar.
At least 3-5 years of broad and relevant legal experience with some exposure to corporate law and commercial law helpful but not required.
Solid business acumen with sound judgment and the ability to provide business partners at every level with timely and appropriately risk‑balanced advice and guidance.
A cross‑functional collaborator who encourages and builds consensus, easily gains trust and support of senior leadership and peers, finds common ground and solves problems with diligence, creativity and flexibility.
A team‑oriented professional, who multi‑tasks and prioritizes well, takes initiative, is capable of leading projects and who can work effectively both independently and with others.
Superior written and verbal communications skills.
Must have a law degree from an accredited law school.
Must have 3+ years of experience gained in a law firm and/or in‑house.
Strong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organization.
Strong negotiating skills with both legal and financial/commercial issues.
Ability to establish and maintain strong relationships within the organization’s legal department and across all businesses.
Ability to work independently with little or no supervision.
Some experience with securities matters and regulation of broker dealers, RIAs and investment banking firms would be helpful, but not required.
