Senior Counsel - Financial Risk Solutions Legal
Nationwide’s Legal team is looking for a Senior Counsel to support the Office of the Chief Legal Officer (OCLO) and oversee financial risk solutions for Nationwide’s Specialty Finance department.
The successful candidate will have deep experience with financial insurance regulation and complex transactions, including cross‑border insurance and reinsurance transactions. Experience with securitization transactions and other types of lending and structured financing transactions is ideal, but not required.
Key Responsibilities
Advise on legal and regulatory issues related to financial lines insurance products and related transactions.
Draft and negotiate insurance policies, collateral agreements, term sheets, NDAs, reinsurance agreements and other ancillary agreements.
Ensure compliance with relevant insurance laws, regulations and standards.
Manage and oversee cross‑border insurance and reinsurance transactions.
Collaborate with internal stakeholders and external partners to support business objectives, including engagement of U.S., Bermudian, Cayman and European counsel, as necessary.
Stay up to date on changes in insurance laws and regulations and advise the company accordingly.
Assist with claims handling matters and prepare for dispute resolution proceedings and negotiations, as needed.
Qualifications
Juris Doctorate from an American Bar Association‑accredited law school.
Full license to practice law in the state(s) in which you counsel Nationwide, in good standing.
15+ years of relevant legal experience, with significant experience in financial insurance regulation, credit, surety, financial guaranty, residual value, and cross‑border transactions.
Experience negotiating and drafting complex insurance and reinsurance agreements, including collateral agreements, term sheets and reinsurance documents.
Strong verbal and written communication skills and ability to advise senior leaders.
Ability to manage and lead cross‑functional projects and provide effective risk assessment recommendations.
Experience with structured finance, securitization, lending and related transactions is a plus.
Reporting Relationships Reports to Vice President/Associate Vice President/Managing Counsel in the Office of the Chief Legal Officer. May lead a team of legal professionals.
Job Conditions & Overtime Eligibility Overtime Eligible: Not Eligible (Exempt). Working Conditions: Normal office environment. Some travel may be required.
