Legal Contracts Manager

Autodesk . This hybrid position is based in Denver (U.S.), Portland (U.S.), Montreal (Canada), Toronto (Canada), or Vancouver (Canada). You will report to the Legal Manager, AMER Contracts. You will be responsible for drafting, negotiation, interpretation, and administration of contractual documents to support Autodesk sales in North America (NAMER). You will provide practical advice and support to business partners on various legal, commercial, and related matters and may provide contractual support for public sector customers as well.
Responsibilities
Provide contractual support for Autodesk's business in North America, focusing on sales transactions, including single order contracts and master agreements, with potential to support global enterprise agreements
Negotiate and ensure compliance with company policies and applicable laws or regulations
Maintain understanding of Autodesk contract templates, contracts policy, legal risk and liability, and company position on multiple matters
Collaborate with management and internal stakeholders (Revenue Accounting, Finance, Privacy, Compliance, Security, Product, other Legal subject matter experts, etc.) to obtain approvals on varied contractual requirements
Help manage contract templates, change control processes, and other related correspondence requiring legal input
Interpret contracts and advise business colleagues on contractual responsibilities
Translate complex commercial/legal scenarios into plain language and action plans
Coordinate commercial transactions with global sales operations, legal department specialists, and other key stakeholders
Collaborate with and support the wider AMER Commercial Legal team on various sales transactions
Apply analytical judgment and best practices to solve problems and contribute to projects
Lead or contribute to projects and improve ongoing processes; build relationships with senior practitioners and peers
Work independently with guidance at critical points and mentor less experienced colleagues as applicable
Minimum Qualifications
4+ years of relevant experience in contract negotiations (legal and business terms) and contract management
Experience supporting direct sales and contract negotiation in the software industry, with knowledge of privacy and cloud-based security positions
Experience negotiating commercial sales non-disclosure agreements
Strong analytical, drafting and negotiation skills (verbal and written)
Ability to be agile and learn a CLM
Flexibility and ability to collaborate, influence business partners
Ability to manage multiple priorities, work under pressure, and meet tight deadlines
Strong organizational skills and attention to detail
Self-directed and able to work under the supervision of lawyers in a fast-paced environment
Understanding of complex global business organizations
Proactive, well-organized, adaptable, team-oriented, business-focused, and motivated by IT/software industry challenges
Bachelor's degree in business or legal studies (preferred for U.S. or Canada)
Preferred Qualifications
Master’s degree or law degree or related certification (preferred from a U.S. or Canadian university)
Advanced understanding of privacy and security issues in software/IT; basic understanding of AI and related complexities

Salary transparency For U.S.-based roles, starting base salary is typically between $81,300 and $140,250, with offers based on experience and location. Canada-based roles have a starting base salary range between $69,000 and $101,200, with potential additional compensation such as bonuses, stock grants, and benefits.
