Senior Corporate Counsel, Commercial

Position Summary
Reporting to a senior member of the Legal team, the Senior Corporate Counsel should be a bright, energetic, business‑minded and self‑motivated transactional attorney with at least 5 years of transactional legal experience (commercial, general corporate, and/or M&A).
Responsibilities
Review, draft, and negotiate commercial contracts, including sales, channels, vendor contracts, RFP responses, and supporting documents.
Provide ongoing commercial legal advice and support to the sales, product, marketing, account management, and business development teams.
Work closely with management and business partners on a variety of agreements and issues impacting a rapidly growing healthcare IT company.
Collaborate, support, advise, and facilitate cross‑team decision‑making among internal teams.
Conduct legal trainings for business stakeholders on a variety of commercial legal issues.
Support corporate transactional work, as needed (e.g., M&A and strategic investments).
Assist with other general legal matters to be assigned as company needs warrant.
Contribute to legal department leadership, mentoring junior staff, and promoting continuous process improvement.
Education, Experience & Skills
J.D. from a well‑recognised law school and excellent academic credentials.
Admitted to the Massachusetts state bar or another U.S. state bar.
5–8 years commercial and/or corporate transactional experience required; prior in‑house or large law firm experience a plus.
Regulatory or technology (especially health industry) experience preferred.
Superior verbal and written communication skills, including contract drafting; ability to communicate concisely to clients & employees, integrate legal and business knowledge, and provide balanced advice regarding risks.
Strong organizational and time‑management skills, with the ability and willingness to meet demanding deadlines and adjust to shifting priorities.
Ability to think creatively and strategically, with both business acumen and legal skills.
Ability to manage multiple tasks simultaneously and flourish in a fast‑paced environment.
A writing exercise will be a critical component of the interview process.
Required of All Legal Employees
