Frost Brown Todd LLP . The role focuses on reviewing, revising, and negotiating client engagement terms, including outside counsel guidelines, engagement letters, professional services agreements, nondisclosure agreements and related documents. Key Responsibilities

Review, analyze, and revise documents establishing the firm’s client engagement terms to ensure legal compliance and alignment with firm objectives. Coordinate with subject‑matter experts (billing/finance, privacy, information security) to review and revise engagement terms. Communicate directly and negotiate with clients when requested by the Office of General Counsel or a relationship attorney. Document all client terms of engagement accurately in Intapp Terms. Identify, research, and correct errors, inaccuracies, and inconsistencies between client information and recorded terms of engagement. Advise on legal risks associated with client‑proposed terms and propose practical solutions or risk‑mitigation compromises. Ensure compliance with applicable laws, regulations, professional responsibility rules, and firm policies related to terms of engagement. Perform additional duties as assigned by General Counsel, Deputy General Counsel, or Conflicts and Client Intake Counsel. Maintain regular, predictable, and punctual attendance at the designated worksite. Engage in in‑person interaction with other FBT personnel, clients, and representatives at the worksite. Job Requirements

JD degree and 3+ years of legal experience in a law firm. Active bar license in good standing in the state of residence. Knowledge and experience with contract negotiation, legal document review, and legal risk assessment. Strong analytical and critical thinking skills. Good working knowledge of Rules of Professional Conduct, ethics, and risk management issues within a law firm. Experience with Intapp Terms strongly preferred; experience with Intapp Conflicts and New Business is a plus. Excellent interpersonal and negotiation skills with the ability to effectively and diplomatically resolve points of disagreement with clients and relationship attorneys. Excellent organizational and priority‑setting skills, with the ability to work efficiently and independently on multiple projects with shifting priorities and tight deadlines. Ability to effectively present information in one‑on‑one and small‑group situations. Demonstrated commitment to maintaining the highest level of confidentiality. Benefits

Compensation

Pay ranges vary by location. For applicants based in California or Washington, D.C., the estimated annual range is $155,000–$173,000. For Denver applicants, the estimated range is $140,000–$167,000. Actual pay is determined based on skills, experience, and other job‑related factors, consistent with applicable employment laws. Application Deadline
