Location: Austin, TX Job ID: 42295 The Senior Corporate Paralegal is an experienced legal professional with at least seven years of expertise supporting global legal operations. Reporting to the SVP and Head of Legal, this role manages a broad range of responsibilities—from corporate governance and global entity management to commercial contract review and compliance. This role ensures that all subsidiaries are properly maintained, assists with board and shareholder documentation, supports transaction closings, and helps implement best practices for corporate governance worldwide. It also leverages technology, like contract lifecycle management tools, to streamline contract workflows and improve efficiency across the business. Who are we?

Senior Corporate Paralegal, you’ll support HID’s success by: Leveraging technology, including a contract life management platform, to support attorney redlining, negotiation, and management of a high volume of commercial contracts Ensuring compliance by internal clients with established HID and ASSA ABLOY policies and procedures Overseeing the formation, dissolution, and reorganization of global legal entities Creating, organizing, and maintaining corporate minute books Assisting with internal and external auditor requests and required annual filings Independently maintaining a global legal entity management system to manage corporate governance matters for all company subsidiaries worldwide as the primary contact for outside counsel and internal finance departments in all regions Advising on best practices for corporate governance and Director and Officer appointments for global entities Preparing and filing board meeting minutes and documentation for changes to directors Assisting and participating in planning, coordination, and execution of transaction closings Drafting, editing, and arranging execution of resolutions, by-laws, shareholder and board meeting minutes, reports, correspondence, powers of attorney, affidavits and other legal documents Conducting research with outside counsel and/or service providers and internal business partners to meet local requirements for foreign subsidiaries Working with outside counsel to advise shareholders and board members as needed or requested Drafting, editing, assisting with the creation and maintenance of policies and procedures Assisting internal and external legal counsel with special projects and day-to-day inquiries as needed Conducting research and analysis Managing company policies and procedures Working with outside counsel to advise shareholders and board members as needed or requested Drafting, editing, assisting with the creation and maintenance of policies and procedures What we look for

Your Experience and Background include: Minimum of 7 years relevant experience in corporate governance, contract management, contract drafting/negotiation and entity management with a global technology company Bachelor’s degree and Notary certification a plus Ability to work independently with minimum supervision, adapt to changing priorities, and take initiative Collaborate effectively with others Customer-oriented mindset and success in delivering a superior customer experience Sound legal and business judgment Strong organizational skills and attention to detail across multiple projects Ability to prioritize issues and implement both strategic and day-to-day initiatives Ability to assimilate complex information, including highly technical material Efficient management of intellectual property portfolios and outside counsel globally Establish and monitor legal budgets Excellent negotiation, drafting, analytical, and communication skills What we can offer you
