SUMMARY
The General Counsel serves as the chief legal advisor to the organization, overseeing all legal aspects of the company’s operations within the telecommunications industry. This role ensures compliance with applicable laws and regulations, provides guidance on employment law, mergers and acquisitions, and corporate governance, and mitigates legal risk while supporting the company’s strategic business objectives.
ROLE AND RESPONSIBILITIES
Provide expert legal counsel to executive leadership and management on matters including general employment law, corporate compliance, regulatory affairs, and risk management.
Advise on and manage mergers, acquisitions, joint ventures, and other corporate transactions, ensuring legal soundness and alignment with business goals.
Draft, review, and negotiate a wide range of legal documents, including contracts, vendor agreements, service-level agreements, and NDAs, to protect the company’s interests and limit exposure.
Represent the company in legal proceedings, disputes, and negotiations as needed.
Develop, review, and maintain product warranties, license agreements, and other customer-facing legal documents to ensure compliance with telecommunications industry standards.
Oversee and coordinate with external counsel on specialized legal matters.
Establish and maintain corporate governance policies and ensure organizational adherence to applicable laws and regulations.
Lead compliance initiatives and employee training related to legal and regulatory requirements.
Monitor changes in federal, state, and local laws relevant to the telecommunications industry and proactively advise leadership on potential impacts.
QUALIFICATIONS AND EDUCATION REQUIREMENTS
Juris Doctor (JD) degree from an accredited law school.
Active license to practice law and in good standing with the applicable state bar.
Minimum of 8–10 years of legal experience, with at least 5 years in a senior counsel or in-house counsel role, preferably within the telecommunications or technology industry.
Strong background in employment law, mergers and acquisitions, and regulatory compliance.
Excellent negotiation, analytical, and problem-solving skills.
Exceptional written and verbal communication abilities.
Proven ability to manage multiple priorities and work effectively with executive leadership.
PREFERRED SKILLS
Experience with FMCSA and other telecommunications regulatory bodies.
Familiarity with intellectual property and data privacy laws.
Prior experience managing outside counsel and legal budgets.
