Job Description
Corporate Secretary Duties:
- Coordinate POA and apostille processes in the US and France
- Manage signature authority and Business Rules of Use (BRU)
- Draft board presentations, written consents, and incumbency certificates
- Maintain legal entity ownership charts and support monthly certifications
- Collaborate with global teams on governance documentation and approvals
- Oversee legal systems including GaLexy, Jurisline, SharePoint, and Legisway
- Assist with legal budgeting, accruals, and expense reporting
- Coordinate onboarding/offboarding of legal staff
- Support audits and policy reviews
- Prepare KPI reports and presentation materials
- Provide time-sensitive assistance for legal transactions
- Coordinate with internal teams to ensure smooth execution of legal processes

The Successful Applicant
- Prior experience in legal operations, corporate governance, or financial services
- Strong organizational and communication skills
- Familiarity with legal systems and documentation processes
- Ability to manage multiple priorities and stakeholders
- Competitive hourly pay ranging from $45 to $50/hr.
