Summary / Objective The
Vice President Legal & Franchise Compliance
is a senior executive role responsible for overseeing all compliance matters and ensuring regulatory adherence across AFB’s franchise network. This position requires a strategic leader with deep expertise in franchise law, regulatory compliance, and corporate governance. The VP Legal & Franchise Compliance will work closely with the executive team to support the company's growth while mitigating risks and ensuring adherence to relevant laws and regulations.
Essential Functions
Compliance Strategy and Management:
Develop and implement the company's compliance strategy to support business objectives.
Provide counsel to the executive team on a wide range of compliance issues, including corporate governance, regulatory matters, contracts, and dispute resolution.
Oversee and manage the company's compliance department and external resources.
Compliance Management:
Ensure all franchise operations comply with federal, state, and international laws and regulations.
Develop and enforce franchise agreements and disclosure documents (FDDs) in compliance with the Federal Trade Commission (FTC) and other relevant authorities.
File 6 FDDs annually and amend as required.
Monitor changes in laws and regulations affecting franchise compliance and communicate these updates to relevant stakeholders.
Develop and implement policies and procedures to minimize risk and ensure effective risk management practices.
Training and Education:
Provide training and resources to Franchise Members and AFB Team Members on compliance matters.
Stay abreast of changes in laws and regulations affecting the franchise industry and communicate updates to relevant stakeholders.
Manage disputes, arbitration, and mediation related to franchise operations.
Work with external counsel and advisors to represent the company in compliance-related matters.
Contract Management:
Review and negotiate a wide range of legal documents, including franchise agreements, supplier contracts, and service agreements.
Manage the company's contract lifecycle, ensuring all contracts are current and enforceable.
Excellent negotiation, communication, and interpersonal skills.
Strong analytical and problem-solving abilities.
Ability to work effectively in a fast-paced and dynamic environment.
High ethical standards and integrity.
Supervisory Responsibilities
Coaches, mentors, and leads others to influence high performance.
Manage team including quarterly performance reviews.
Conduct team’s weekly and quarterly meetings.
Work Environment
Professional corporate and team-oriented environment.
Hybrid work schedule with at least 2 days each week in office.
Prolonged periods sitting at a desk and working on a computer.
Must be able to lift up to 15 pounds at times.
Company meeting in Plymouth, MI in July.
Possible travel to annual Franchise Member convention.
Required Education and Experience
Bachelor’s degree in business administration, compliance, or a related field, or Juris Doctorate.
Minimum of 10 years of experience in compliance or a related field, with at least 5 years in a senior compliance role, or minimum of 3 years’ experience as attorney.
Extensive knowledge of franchise law and regulatory compliance.
Proven track record of managing complex compliance issues and leading compliance teams.
Proficient in Microsoft Office.
Preferred Education and Experience
Preferred experience in franchising or multi-brand environment.
Master’s degree in business administration, compliance, or related field.
Experience with international franchising.
Certification in compliance or related fields (e.g., Certified Franchise Executive, Compliance and Ethics Professional).
