Job Description: Director, Assistant General Counsel – M&A and Ventures Collaborate with innovative 3Mers around the world. This position offers an opportunity to transition from experience in private, public, government or military environments into a career at 3M.

Impact

Lead and coordinate the structuring, negotiation, and execution of complex corporate transactions, including global M&A, divestitures, strategic partnerships, and joint ventures.

Provide practical, solution‑oriented legal and strategic counsel to executives and colleagues on strategy, risk assessment, negotiations, and transaction execution.

Partner with 3M’s corporate development team and cross‑functional experts on all aspects of M&A and venture capital transactions, including due diligence, negotiations, execution, integration, and transition planning.

Oversee all aspects of legal due diligence, coordinating business and functional experts and analyzing findings.

Draft, review, and negotiate transaction documentation such as NDAs, purchase agreements, shareholder agreements, joint venture agreements, and disclosure schedules.

Partner with business and functional experts in developing, implementing, and monitoring integration/divestiture plans.

Identify, evaluate, and address complex and strategic legal and commercial risk issues.

Select and manage outside counsel from the 3M Preferred Counsel Network.

Drive continuous improvement on all aspects of 3M’s legal, M&A, and venture capital processes.

Your Skills and Expertise

Juris Doctor degree (completed and verified prior to start) from an accredited law school.

Member of a United States bar association in good standing.

Five (5) years of corporate transactional legal experience (e.g., mergers and acquisitions, venture capital, or similar) in a private, public, government or military environment.

Eight (8) years of related work experience with significant global/international M&A exposure is highly desirable.

Expertise structuring, negotiating, and executing global M&A transactions, including due diligence, drafting documents, leading negotiations, closing, and integration.

Experience structuring, negotiating, and executing venture capital deals, minority investments, strategic partnerships, or joint ventures.

Exceptional executive communication, advocacy, and writing skills, able to convey complex legal and transactional concepts to all levels of the organization.

Experience advising clients in a complex, diversified, global organization.

Common sense, honesty, unwavering integrity, exceptional judgment, and a collegial work style.

Ability to prioritize and manage multiple projects efficiently and effectively in a fast‑paced business environment.

Desire to work collaboratively with and lead a large cross‑functional team.

Compensation Expected range: $228,040 – $278,715, which includes base pay plus variable incentive pay, if eligible.

Work Location

This role follows an on‑site working model, requiring the employee to work at least four days a week at the 3M Center in Maplewood, MN.

Travel & Relocation

Travel may include up to 5% domestic/international.

Relocation is authorized.
