Compensation:
Mid-Level $75,000 - $95,000 OT and Bonus Eligible
Senior-Level $110,000 - 140,000 OT and Bonus Eligible
Practice Areas:

Working Hours:
9:30am – 5:30pm, hour lunch break OT
Responsibilities
The Corporate Paralegal will assist attorneys with their responsibilities and assignments related to representing their clients by handling day-to-day transaction management.
Assist with fund formation.
Maintain internal database of investor information.
Analyze and review subscription agreements and side letters.
Review and draft agreements and consents related to limited partnerships, limited liability companies, and corporations.
Assist with entity formation, including corporate name availability and reservation; draft corporate organizational documents; maintain corporate records; and prepare foreign qualifications, dissolutions, and withdrawals.
Assist with multiple transactional closings, including mergers and acquisitions, joint ventures, financings, and strategic investments.
Draft ancillary documents under attorney supervision (e.g., officer's certificates, bylaws, corporate resolutions, stock certificates, collateral receipt letters, etc.).
Proofread and revised principal transaction documents (e.g., Private Placement Memorandum, Operating Agreement, Limited Partnership Agreement, etc.).
Knowledge, Skills & Abilities
3-5+ years of experience working as a Corporate and/or Private Fund paralegal.
