Base Pay Range $100,000.00/yr - $110,000.00/yr

Location: Hybrid – Hartford, CT

The Spirit Of The Position The

Corporate Counsel, Commercial Contracts , reports to General Counsel and is a key member of the legal department, providing legal guidance on a wide range of transactions, with a primary focus on drafting, reviewing, and negotiating sales and vendor agreements. This role works closely with the sales, procurement, and other business teams to enable objectives while mitigating legal risk and ensuring compliance with all applicable laws.

Responsibilities

Contract Management: Draft, review, and negotiate a wide range of commercial contracts including:

Management/Lease/Operating/License agreements

Vendor/service provider contracts

Master service agreements (MSAs)

Statements of work (SOWs)

Non-disclosure agreements (NDAs)

Legal advice: Advise internal stakeholders, including sales and procurement teams, on contract interpretation, legal risk, company policies, and negotiation strategy.

Process improvement: Assist in developing and implementing standardized contract templates, playbooks, and processes to improve efficiency and consistency in commercial contracting.

Negotiation support: Directly engage in and lead negotiation efforts with clients, vendors, and other third parties to finalize contract terms.

Dispute resolution: Assist in resolving contractual disputes or breaches that may arise with clients or vendors.

Compliance: Ensure commercial contracts comply with all applicable legal and regulatory requirements, including data privacy laws.

Cross-functional collaboration: Collaborate with various departments, such as finance, operations, and IT, to ensure contract terms align with business goals and operational needs.

Training and guidance: Provide legal training and guidance to business teams on commercial law issues, contract terms, and best practices.

Record-keeping: Maintain organized and accurate records of executed contracts and other related legal documents.

Requirements

Education:

Juris Doctor (J.D.) degree from an accredited law school.

Admission to the bar and in good standing in at least one U.S. jurisdiction.

Experience:

2-4 years of relevant experience drafting and negotiating complex commercial contracts, preferably in a corporate legal department or law firm.

Strong knowledge of contract law, commercial terms, and risk allocation.

Skills:

Strong organizational and time management skills; ability to manage multiple tasks in a fast‑paced environment.

Excellent analytical, communication, and negotiation skills.

Ability to work independently, manage multiple priorities, and exercise sound business judgment.

Strong organizational skills with the ability to coordinate multiple stakeholders.

Ability to prioritize and manage time to meet deadlines.
