At Smith+Nephew we design and manufacture technology that takes the limits off living. The role of Corporate Development Director is responsible for identifying, analyzing, and managing M&A opportunities across the global footprint of the company, including building financial valuations, negotiating with potential target companies, managing due diligence, drafting strategic rationale and deal presentations, and smoothly transitioning closed transactions to the Integration Project Management Office. A successful candidate will have demonstrated expert-level experience across deal origination, leading deal execution in a standardized process, negotiation strategy, risk identification and mitigations to protect transaction synergies, and conducting post-transaction reviews to inform standard operating practices for the function. The role reports to the VP of Corporate Development and involves high visibility with senior leadership and investment bankers, as well as engagement with potential third parties during diligence, market research, and customer engagement processes. What will you be doing?
Actively monitoring strategic landscape to enable S+N to be proactive in M&A Support generating annual M&A strategy Map acquisition opportunities against strategic objectives to generate a multi-year M&A pipeline Build/maintain target library in core and target markets, actively tracking new opportunities Keep current on strategic and technology developments and competitive intelligence in core and target markets, proactively sharing relevant information with internal stakeholders Maintain tracking database for all incoming deal flow Evaluate strategic opportunities to ensure consistency with S+N strategic roadmap Identify and contact appropriate business line managers to solicit input and build robust investment theses and business cases Interface with target-company management teams, investors and advisors Participate in meetings and internal discussions regarding strategy setting and potential live strategic activity Manage transactional process to provide the best, risk-mitigated outcome for S+N What will you need to be successful?
8+ years of transactional M&A experience, ideally within healthcare (prefer medical devices), high technology, or information-intensive businesses; global multi-divisional experience is a plus Strong financial acumen: expert-level knowledge in financial statement analysis, valuation techniques, and transaction structuring Strategic mindset to understand core and target markets, macro/micro dynamics, competitive landscape, and M&A implications Interpersonal, communication, stakeholder management and influencing skills Ability to present information to senior leadership and build relationships with target companies; experience leading cross-functional teams in a global matrix Leadership and project management skills, coordinating cross-functional teams for due diligence and integration planning Ability to work with large data sets and translate insights for non-finance colleagues Ability to prioritize and manage multiple projects; high-quality, timely outputs Understanding of IFRS accounting is a plus Proactive and energetic, capable of working independently or in a team Excellent written and verbal communication across diverse audiences Travel Requirements:
