Vice President, Associate General Counsel The Vice President, Associate General Counsel will serve as a key legal advisor to the business, providing strategic and practical legal counsel across corporate, securities, and healthcare law. Reporting to the EVP, General Counsel, this role will lead legal efforts related to governance, SEC compliance, commercial activities, and legal risk management. The successful candidate will be a trusted partner to senior leadership, with a focus on enabling innovation while ensuring company adherence in a complex regulatory environment. Salary Range: $325,000 - $375,000 Essential Duties and Responsibilities

Corporate and Securities Law SEC Compliance:

Participate and lead the drafting, review, and filing of SEC disclosures, including Forms 10-K, 10-Q, 8-K, and proxy statements. Ensure compliance with the Securities Exchange Act of 1934, Regulation FD, and relevant stock exchange rules. Support insider trading policy administration and public disclosure processes. Corporate Governance:

Provide legal support for Board of Directors and committee meetings; manage governance documents and corporate records; oversee legal aspects of the annual stockholder meeting and proxy development; advise on governance best practices. Corporate Transactions and General Legal Support:

Advise on corporate transactions including mergers, acquisitions, and financings. Support legal aspects of executive compensation and equity programs. Manage outside counsel and collaborate cross-functionally to support overall business goals. Commercial and Healthcare Law Legal Advisory Support:

Provide legal counsel to commercial, medical affairs, and development teams on brand-related legal issues throughout the product lifecycle, including advertising and promotion, market access, patient support services, and real-world evidence. Healthcare Compliance and Risk Management:

In partnership with the Healthcare Compliance team, assess legal risk related to federal and state laws including the Anti-Kickback Statute, False Claims Act, FDA promotional regulations, antitrust, privacy, and pricing transparency laws. Propose practical, compliant solutions aligned with business strategy. Policy and Training:

Collaborate with Compliance and HR to develop, deliver, and continuously improve training programs on legal and regulatory topics. Promote legal awareness across the company. Leadership and Cross-Functional Collaboration Provide mentorship and leadership to members of the Legal team. Serve as a proactive legal partner to departments including Regulatory, Medical Affairs, Finance, HR, and Compliance. Represent Legal in cross-functional initiatives and governance bodies, ensuring alignment and legal risk mitigation. Knowledge and Skill Requirements

Juris Doctor (JD) degree from an ABA-accredited law school Member in good standing of at least one U.S. state bar Minimum of 15 years of legal experience, including at least 2 years in a law firm and significant in-house experience at a public company in the pharmaceutical, biotech, or life sciences sector Deep understanding of securities law, FDA regulatory frameworks, and healthcare compliance Proven ability to provide business-minded, risk-calibrated legal guidance in a fast-paced, regulated environment Excellent written and verbal communication skills, with a demonstrated ability to communicate complex legal concepts to non-lawyers Strong leadership, project management, and cross-functional collaboration skills Intellectually curious and proactive; thrives in an environment of continuous learning and innovation Work Environment and Travel
