About the Role Vaco is partnering with a leading Birmingham law firm to identify an experienced
Corporate Paralegal
to join their dynamic legal team. This is an excellent opportunity for a detail-oriented professional who thrives in a fast-paced, collaborative environment and is looking to contribute to a growing legal department.
Key Responsibilities
Prepare, review, and maintain corporate governance documents including formation, dissolution, and annual filings for domestic and international entities.
Manage and track corporate minute books, board resolutions, and shareholder records.
Assist with mergers, acquisitions, and other corporate transactions, including due diligence and closing documentation.
Support compliance initiatives and coordinate with external counsel and regulatory agencies as needed.
Draft and organize contracts, NDAs, and related legal documents.
Maintain legal databases and document management systems to ensure accuracy and accessibility.
Qualifications
Bachelor’s degree or equivalent required; Paralegal Certificate from an ABA-accredited program strongly preferred.
5+ years of corporate paralegal experience in a law firm or in-house legal department.
Strong understanding of corporate governance, entity management, and regulatory filings.
Exceptional attention to detail, organization, and communication skills.
Proficiency with legal entity management systems (e.g., Diligent Entities, CSC, or similar).
Ability to handle multiple priorities and meet deadlines in a fast-paced environment.
