Corporate Counsel – Corporate and Commercial Our client is seeking a highly motivated and skilled individual for the role of Corporate Counsel – Corporate and Commercial. Supporting and working closely with the Vice President, General Counsel & Corporate Secretary, this role will lead and mature the company’s enterprise‑wide contracting function, with direct responsibility for drafting, reviewing, and negotiating a wide range of corporate, technology, and vendor agreements. The role will also support related legal, compliance, and governance initiatives, including contract policy development, third‑party risk management, data privacy and security alignment, and legal operations improvements. A key element of success in this role is the daily use of technology and Generative AI to enhance quality, speed, and consistency in contract drafting, negotiation, issue spotting, and knowledge management, always applying sound legal judgment and adhering to company policies and ethical standards.

Key Responsibilities

Provide end-to-end legal support for corporate and vendor contracting across the enterprise, including drafting, reviewing, and negotiating master services agreements, statements of work, software licensing and SaaS agreements, cloud hosting and data processing agreements, NDAs, professional services agreements, marketing and consulting arrangements, and other commercial instruments.

Develop, standardize, and maintain contract templates, playbooks, fallback positions, and clause libraries aligned with the company’s risk tolerances and business objectives; drive adoption across business units.

Work closely with the company’s Vendor Management team to lead contract lifecycle management best practices, including intake, triage, escalation, approval workflows, and repository hygiene.

Optimize the use of contract management and e‑signature tools, including AI‑enabled review and Generative AI solutions consistent with company policies.

Champion the responsible adoption of legal technology and Generative AI across the contracting function, including building playbooks for AI‑assisted drafting and redlining, establishing appropriate guardrails and human‑in‑the‑loop review, training business users, and measuring outcomes (cycle time, quality, and risk).

Provide comprehensive legal advice and support on a variety of matters including, but not limited to, commercial law, real estate, employment law, regulatory compliance, data privacy, and intellectual property.

Manage external counsel to ensure quality and cost‑effective legal services.

Stay abreast of legislative and regulatory changes affecting the insurance industry. Advise on regulatory compliance matters and participate in industry associations as needed.

Qualifications

Juris Doctorate (JD) from an accredited law school.

Member in good standing of the South Carolina Bar or eligible for a limited certificate of admission for in‑house counsel under Rule 405, SCACR.

A minimum of 5 years of legal experience, preferably in a large law firm or corporate setting.

Demonstrated expertise negotiating complex commercial agreements, including SaaS, software licensing, cloud services, data processing, and professional services contracts.

Professional, highly organized and detail‑oriented.

Possess the ability to work independently, to thrive under pressure and to meet deadlines in a dynamic and entrepreneurial environment.

Business‑oriented experience required. Candidate must show a willingness and desire to learn about the business.

Excellent analytical, negotiation, and communication skills.

Demonstrated ability to handle confidential information with discretion.
