What You Do
A highly skilled and experienced Senior Counsel/Associate General Counsel to provide legal guidance and support across a variety of transactional areas including mergers and acquisitions, vendor contracting, reinsurance, investments, and other agreements as required. Also advising on compliance with insurance company regulations and other relevant laws impacting transactions and digital transformation initiatives in the insurance space.
Key Responsibilities
Provide legal advice and support for vendor contracting, ensuring compliance with company policies and regulatory requirements.
Advise on reinsurance agreements, including drafting, reviewing, and negotiating terms.
Manage legal aspects of merger & acquisition transactions, including legal due diligence, negotiation, and drafting of agreements.
Support investment-related transactions, offering legal insights and ensuring compliance with applicable laws and regulations.
Draft, review, and negotiate various other agreements as needed, ensuring alignment with business objectives and legal standards.
Advise on compliance with insurance company regulations and other laws relevant to transactional activities.
Provide guidance on the use of digital tools in the life insurance space including life insurance applications, ensuring legal validity and compliance.
Stay updated on legal trends and regulatory changes impacting the insurance industry and transactional practices.
Collaborate with internal stakeholders to develop strategies that mitigate legal risks and support business goals.
Manage external legal counsel as needed for specialized advice or representation.
Conduct training and workshops for internal teams on legal best practices and compliance requirements, as needed.
Utilization of artificial intelligence tools and resources (e.g. generative AI).
What You Bring
8+ years of experience at a law firm, governmental or administrative agency and/or in-house at insurance, financial services or other similar company.
Juris Doctor from ABA accredited law school.
Licensed to practice in Minnesota or active member in good standing with a state bar with the ability to be admitted in Minnesota within 6 months of start date.
You must be legally authorized to work in the U.S. without requiring immigration sponsorship now or in the future.
Job posting range: $141,000-225,000
Note the job posting range is exclusive of company benefits or other compensation. This role is also eligible for an annual incentive program. If you are hired, your final base salary will be determined based on factors such as geographic location, experience, skills, competencies, and/or education. In addition to those factors, we will also consider internal equity of our current employees.
