Employment Counsel & Assistant Corporate Secretary

This dual-capacity position reports to the Chief Legal Officer and supports the company’s legal and governance functions by providing expert counsel on employment law matters and assisting in corporate secretarial duties.
Base pay range: $128,000.00/yr - $176,000.00/yr
Position Summary
We are seeking a highly qualified legal professional who will ensure legal compliance, mitigate risk, and promote sound governance practices across Denny's.
Key Responsibilities
Employment Counsel Duties
- Provide legal advice on employment law issues including hiring, performance management, terminations, wage and hour compliance, and workplace investigations.
- Draft and review employment-related agreements and policies.
- Monitor and interpret changes in employment laws and regulations.
- Partner with HR to develop compliant and effective employee relations strategies.
- Partner with HR to manage and respond to employee relations issues and grievances.
- Support internal investigations and compliance reviews.
- Experience working directly with management.
- Experience managing and completing complex projects.
Assistant Corporate Secretary Duties
- Assist in preparing materials for Board and Committee meetings, including agendas, resolutions, and minutes.
- Maintain corporate records and ensure compliance with governance policies and legal requirements.
- Support the coordination of annual shareholder meetings and related filings.
- Facilitate communication between the Board, senior management, and external stakeholders.
- Ensure timely and accurate preparation of corporate disclosures and reports.
Qualifications
- Juris Doctor (JD) from an accredited law school; active bar membership.
- Minimum of 5–7 years of legal experience.
- Experience supporting Boards of Directors and senior leadership.
- Strong understanding of federal and state employment laws and corporate governance practices.
- Excellent communication, organizational, and analytical skills.
- High level of integrity and discretion.
