The In-House Corporate Counsel will be responsible for a wide variety of in-house corporate legal matters, including conducting corporate secretary and board work, preparing corporate resolutions, working on corporate transactions and related duties. The ideal candidate will have experience with corporate formation and governance, M&A and complex corporate transactions, and ideally securities law.

This position is hybrid based in Charlotte, NC.

Key Responsibilities

Provide legal advice on a wide range of issues, including corporate policies, compliance, intellectual property, labor and employment, and contract negotiation, ensuring that all actions align with legal requirements.

Draft, review, and negotiate contracts and agreements to protect the company's interests, including contracts with vendors, customers, and business partners, ensuring compliance with relevant laws and regulations.

Ensure the company adheres to local, state, and federal laws and regulations by developing compliance programs and policies to mitigate legal risks and promote best practices.

Manage litigation the company may face, coordinating with external counsel as necessary, and develop legal strategies to effectively represent the company's position in legal proceedings.

Identify potential legal risks associated with business decisions and transactions, conduct risk assessments, and provide legal strategies to minimize exposure to liabilities.

Assist in maintaining proper corporate governance practices, including advising on board matters and ensuring compliance with corporate formalities.

Work closely with various departments, such as finance and human resources, to provide legal insights that drive informed business decisions and safeguard the organization’s interests.

A Juris Doctorate (JD) degree is required.

5+ years of corporate law and M&A transactional experience is required, preferably with an Am Law 200 or boutique law firm and/or in-house legal department.

Certifications, Licenses, Registrations

Licensed to practice law in any state.

Functional Skills

Strong knowledge of corporate law and legal guidelines.

Stellar analytical skills.

Outstanding written and verbal communication skills.

Ability to work effectively with business teams.

Ability to work independently as well as part of a team and manage multiple priorities in a fast‑paced environment.

Securities law experience is a plus.

Insurance industry experience a plus.
