About the Role
We’re seeking an
Assistant General Counsel, Corporate & Securities
who is an exceptional legal strategist and a proactive business partner. This is a high‑impact, high‑visibility role for a leader who can not only manage our public company obligations but also drive efficiency and innovation in legal operations. You will be a key advisor to our senior leadership and Board of Directors, ensuring our corporate governance and transactions are executed with precision, speed, and strategic insight.

What You’ll Do
Own the legal portions of all SEC filings (10‑K, 10‑Q, 8‑K, proxy statements, registration statements) and ensure ongoing compliance with SEC and exchange requirements.
Lead planning for the annual meeting of stockholders.
Drive M&A, divestitures, strategic investments, corporate financings, and other complex corporate transactions from term sheet through closing.
Negotiate and draft transaction agreements, disclosure documents, and corporate governance materials.
Oversee Section 16 filings and related reporting obligations.
Prepare and manage board and committee meeting materials in partnership with senior leadership.
Manage global subsidiary governance, draft organizational documents, and maintain corporate records.
Partner with Communications, Investor Relations, Accounting, Treasury, and Tax on cross‑functional initiatives.
Control Corporate & Securities legal budgets, manage law firm relationships, and approve related expenses.
Key Outcomes You’ll Be Accountable For
Corporate & Securities Excellence: Ensure 100% on‑time and accurate filing of all SEC documents, minimizing risk and ensuring full compliance with regulatory requirements.
Strategic Transaction Velocity: Streamline the legal process for M&A and corporate transactions, reducing time to close by 15% through proactive diligence and negotiation.
Board Governance Optimization: Implement systems to ensure all Board and committee materials are prepared and delivered at least 72 hours in advance of meetings, improving executive decision‑making.
Operational Efficiency: Partner with legal operations to automate routine tasks, such as subsidiary document management, to reduce administrative burden on the legal team by 25% within the first year.
What You’ll Do to Achieve These Outcomes
Lead Securities Filings: Take ownership of all aspects of SEC filings (10‑K, 10‑Q, 8‑K), leading the legal review and drafting process.
Drive Strategic Transactions: Manage the full lifecycle of corporate transactions from due diligence to post‑closing integration.
Partner with Leadership: Advise the Board of Directors, senior executives, and cross‑functional teams on corporate governance and public company obligations.
Champion Innovation: Identify and implement legal tech and AI solutions to automate routine tasks and enhance the efficiency of the legal department.
What We’re Looking For
Required:
7+ years’ securities and capital markets experience (in‑house or at a law firm)
Proven ability to independently manage complex filings and transactions
Strong organizational skills with the ability to handle multiple priorities under tight deadlines
Exceptional written and verbal communication skills — able to explain complex concepts clearly and concisely
Collaborative mindset with a track record of building trust across functions
Preferred Candidate Background:
Experience working directly with boards of directors and senior executives
Exposure to global subsidiary governance
History of mentoring junior colleagues or leading small teams

$167,400.00 - $223,200.00 + bonus
