We acquire non-legal assets of established firms, providing liquidity to founders while driving operational efficiency, growth, and compliance through shared services, technology, and strategic leadership. We are building the leading network of branded PI firms nationwide, combining deep legal expertise with disciplined investment strategy and operational excellence. Role Description We are seeking a Vice President of Corporate Development to serve as the deal lead for CIC’s acquisition and integration activity. This individual will play a critical role in sourcing, analyzing, structuring, and executing acquisitions across the platform. You’ll partner directly with CIC’s leadership (founders and investors) and senior law firm principals to close transactions and scale our portfolio. This is a hands-on, high-visibility role for someone with the financial rigor of an investment professional and the resourcefulness of an operator. Responsibilities
Evaluate inbound and proprietary deal flow of law firm MSO opportunities across multiple geographies. Lead financial modeling, valuation, and analysis for target firms (EBITDA adjustments, inventory valuation, earnout structures, etc.). Conduct industry and market diligence to refine acquisition theses. Manage deal execution end-to-end, from LOI drafting through confirmatory diligence and closing. Coordinate external advisors (legal, tax, quality of earnings, valuation consultants) and lenders. Structure transactions in compliance with non-lawyer ownership and fee-sharing regulations. Prepare investment committee materials and present acquisition rationales. Partner with operating leadership post-close to ensure smooth transition of management services, finance, and marketing systems. Track financial performance of acquired firms versus underwriting models. Develop playbooks for integration, diligence, and repeatable execution. Contribute to capital planning, lender reporting, and investor materials. Assist in building out CIC’s MSO operating model and acquisition infrastructure. 5+ years of experience in investment banking, private equity, corporate development, or transaction advisory. Strong financial modeling and valuation skills. Experience managing due diligence and deal processes (legal, accounting, QoE, etc.). Familiarity with professional services, healthcare roll-ups, or regulated industries is a plus. Comfort working in a small, entrepreneurial environment, and the ability to work independently and drive deals forward.
