Job Description As the Structured Finance Of Counsel, you will play a pivotal role in advising clients on complex, high-value transactions across a range of asset classes. Your responsibilities will include:
Leading and managing structured finance deals, including CLOs, ABS, RMBS, CMBS, and other securitization transactions
Drafting, reviewing, and negotiating key transaction documents such as offering memoranda, indentures, purchase agreements, and servicing agreements
Providing strategic legal counsel on regulatory compliance, risk mitigation, and market trends impacting structured finance and capital markets
Collaborating with attorneys across practice groups and jurisdictions to deliver seamless, cross-border legal solutions
Serving as a trusted advisor to clients, maintaining and deepening relationships with financial institutions, asset managers, and corporate issuers
Mentoring and supervising junior associates, contributing to their development and the overall strength of the team
Participating in business development initiatives and thought leadership to enhance the firm's profile in the structured finance space

The Successful Applicant The ideal candidate will bring a blend of technical expertise, leadership, and commercial acumen. Key qualifications include:
A Juris Doctor (JD) degree and active bar membership in the jurisdiction of application
At least 9 years of experience in structured finance, securitization, and/or CLO transactions, preferably gained at an AmLaw 100 firm
Deep understanding of U.S. securities laws, Dodd-Frank, and other regulatory frameworks relevant to structured products
Exceptional drafting and analytical skills, with the ability to simplify complex legal concepts for clients
Strong business judgment and the ability to anticipate client needs and deliver practical solutions
Proven ability to manage multiple transactions and deadlines in a fast-paced, high-stakes environment
A collaborative mindset with excellent interpersonal and communication skills
Demonstrated leadership and mentoring capabilities, with a commitment to fostering team success.
What’s on Offer
The firm's expected hiring range for this position is $475,000 - $525,000 per year depending on the candidate's experience, skills, educational and professional background, and overall qualifications.
